This job is responsible for providing legal counsel on products, services, regulatory matters, and commercial credit transactions that support the Commercial Banking business. It includes structuring, negotiating and advising on commercial credit arrangements and specific advice regarding commercial legal framework. The role partners with business, risk, compliance, and legal stakeholders to support strategic initiatives, manages complex legal matters, and provides practical legal guidance that aligns with business objectives and regulatory requirements.

Responsibilities
  • Analyzes legal issues and implications on products, services, and regulatory matters related to the commercial banking business
  • Communicates clear, concise, actionable, and business-informed legal advice, including occasionally to leadership
  • Interprets rulings, laws, and regulations from a compliance and business control standpoint
  • Drafts, reviews, and/or negotiates complex legal documents, such as engagement letters, debt agreements, offering documents, and legal opinions
  • Gathers, assesses, and evaluates information from various sources with an open mind to make a judgment or inference
  • Supports company responses to government agency examinations and investigations, enforcement actions, private complaints, and litigation
  • Directs the work of outside legal counsel and may coordinate the work of other Legal staff such as Paralegals and trains, mentors, or supports the development of peers
  • Openness to learning and using new technologies in role
  • Ability to work with variety of stakeholders across the enterprise (credit, risk, compliance, business partners etc.)
Required Qualifications
  • 4+ years relevant experience with emphasis on structuring, drafting and negotiating documentation commercial credit facilities
  • Relevant documentation and transactional experience should include some work with single lender and syndicated credit agreements, security agreements, inter-creditor agreements, commitment letters and term sheets as well as other commercial finance documentation
  • Candidates must possess strong communication skills and demonstrate experience and confidence in risk identification and analysis, and risk management decision making

The ideal candidate will have substantial experience in managing due diligence processes and reviews; drafting, reviewing and negotiating related corporate and transaction documents such as corporate documents, capital structures, purchase and merger agreements, offering documents, governance documents and financing agreements; and supporting private equity sponsors and portfolio companies throughout their investment lifecycle; and working with companies through all phases of their businesses, from entity formation and corporate structuring to ongoing operational compliance. Experience with commercial contracts, technology contracts, real estate and lending matters, transactional tax basics, international clients and cross-border transactions is a plus.
