What’s the role?The Corporate Counsel – Commercial will join the legal team at Carl Zeiss Vision Inc., supporting a broad range of commercial contracting activities within the medical device and vision care industry. ZEISS is a global leader in optics, producing not only corrective lenses and eyeglasses, but also the advanced technologies used by eye care professionals to test, diagnose, and treat eye conditions. This role will manage a high volume of complex commercial agreements, including GPO, marketing, procurement, distributor agreements, leases, and related contracts. The position will also provide legal support for commercial lending activities, franchising business models, and other business-driven legal matters as they arise. The ideal candidate is a pragmatic, business-oriented attorney who can balance legal risk with commercial objectives and partner closely with cross-functional stakeholders in a fast-paced, dynamic environment.
What You’ll Do
- Draft, review, negotiate, and manage a wide range of commercial contracts, including GPO, supply, marketing, procurement, distributor agreements, and leases
- Manage a high volume of contracts, ensuring timely execution and compliance with company policies and applicable laws
- Utilize and maintain contract lifecycle management (CLM) systems to track contract status, key terms, and reporting
- Advise business stakeholders on contract terms, risk mitigation strategies, and regulatory compliance
- Provide legal guidance related to medical device and healthcare regulations, including: Anti-Kickback Statute and Sunshine Act compliance, HIPAA and data privacy requirements, FDA regulations for medical devices
- Support the development and ongoing management of the franchise business model, including: Preparing and maintaining franchise disclosure documents and compliance records, Drafting and negotiating franchise agreements, Coordinating with outside counsel and monitoring changes in franchise and state optometry laws
- Provide legal support for commercial lending activities, including reviewing loan documentation, ensuring regulatory compliance, and advising on risk mitigation
- Partner closely with cross-functional teams (Legal, Regulatory Affairs, Sales, Procurement, HR, and Operations) to support business objectives
- Conduct legal research and analysis to support business initiatives and resolve legal issues
- Support general corporate matters and special projects as needed
- Stay current on evolving healthcare and commercial regulations, industry best practices, and legal trends
- Develop and improve contract templates, playbooks, and negotiation guidance for internal stakeholders
- Assist in process improvements to enhance contract turnaround time and cross-functional efficiency
- Juris Doctor (JD) degree from a top-tier law school and active U.S. law license
- 5–10 years of legal experience, with a strong focus on commercial contracting in the medical device or healthcare industry
- Prior experience at a law firm or in-house legal department supporting medical device clients or businesses
- Demonstrated expertise in:
- Drafting and negotiating commercial contracts (GPO, supply, marketing, procurement, distributor agreements, and leases)
- Medical device and healthcare regulations, including: Anti-Kickback Statute, Sunshine Act, HIPAA and data privacy, FDA requirements for medical devices
- Coordinating and managing a high volume of contracts
- Using contract management systems to organize and track contract status and key terms
- Experience advising on commercial lending and franchise law matters preferred
- Excellent communication, analytical, and problem-solving skills
- Ability to work independently in a remote environment and manage multiple priorities
- Ability to translate legal concepts into practical business guidance
- Strong attention to detail and commitment to accuracy in contract drafting
- Proven ability to draft and negotiate a high volume of commercial agreements

The annual pay range for this position is $132,800 - $166,000. The pay offered for this role may be influenced by factors such as job location, scope of role, qualifications, education, experience, & complexity/specialization/scarcity of talent. What’s the role?To strengthen our Team in the Eye Care Provider Division, we are seeking a Business Development Representative for our Chicago territory (must live within territory). Under general direction from the Regional Business Development Manager, the Business Development Representative (BDR) is responsible for the overall management, objectives, and plans for the assigned territory within the U.S. Independent Eye Care Professional (ECP) Channel. The BDR is an experienced business-to-business sales representative with the ability to source, develop and cultivate new clients and new business and consolidate share of wallet. The BDR will conduct sales calls with eye care professionals (ECPs) such as optometrists, ophthalmologists, opticians and other optical specialists to promote our ZEISS products, services and practice‑based solutions using both consultative and conceptual selling approaches, and then document customer records and activity within a Customer Relationship Management (CRM) system. The BDR will develop and maintain effective plans for their assigned territory, implement account‑specific programs and business plans and act as a change agent for the expansion of ZEISS product and portfolio utilization.
Here’s What You’ll Do- Meet or exceed sales growth targets for Direct Rx business and other strategic targets such as premium lenses, coatings, dispensing tools and equipment, or key sales programs.
- Segment territory using CRM Account Classification system and identify key customer targets to increase territory sales.
- Profile and evaluate each customer’s store operation, financial data, business model & profit drivers, and create value‑based sales strategies that have positive financial impact on the company.
- Conduct and prepare pre‑call planning and call objectives, and anticipate likely objections; understand motivations and establish a relationship as a trusted advisor / consultant.
- Lead sales conversation with ECPs by challenging and persuading them to change behavior. Build agreement at each point in the sales process, remove barriers and close the deal.
- Create innovative tactical and strategic approaches to meet and exceed business objectives when faced with an obstacle or a customer concern.
- Treat territory as own franchise by creating and executing territory plan to achieve goals; consider required investment and financial impact in developing customer strategies.
- Increase sales by effectively communicating the advantages and benefits of Carl Zeiss Vision products and services to Eye Care Professionals.
- Support and implement national marketing plans, utilizing digital tools and apps.

- Capable of unassisted physical lift of one article weighing up to 75 pounds.

The annual pay range for this position is $46,000 – $57,000. Payment may be influenced by location, scope, qualifications, education, experience and complexity/specialization. - Act as primary point of contact for payroll‑related initiatives, providing expertise and guidance.
- Lead workshops and discussions to identify requirements and translate them into technical solutions.
- Lead change management for enhancements, ensuring stakeholder alignment and seamless adoption across impacted user groups.
- Leverage creative problem‑solving and deep Workday expertise to propose innovative solutions that address complex requirements while aligning with system capabilities and business objectives.
- Act as technical lead on payroll‑related projects from inception to completion, including scoping, planning, execution, and post‑go‑live support.
- Develop comprehensive documentation for payroll processes, configurations, and system enhancements.
- Ensure timely delivery of projects within budget and scope.
- Support bi‑annual Workday Release updates including discovery, analysis, recommendations, and regression testing.
- Serve as the subject‑matter expert for Workday Payroll, addressing complex issues and providing expert‑level support in partnership with the Global Workday Team.
- Work closely with HRIS and payroll teams to troubleshoot system issues and ensure smooth processing.
- Bachelor’s degree in HR, Business Administration, Information Systems, or a related field.
- 5+ years of experience in Workday HRIS Payroll systems.
- Expertise in Workday US (highly desirable – Canada) Payroll, including configuration, compliance, and troubleshooting.
- Strong understanding of Workday Security, including role‑based access and data privacy standards.
- Proficiency in Workday Reporting and analytics tools, with experience creating advanced payroll reports and dashboards.
- Experience with integrations between Workday and third‑party systems such as tax and benefits providers.
- Exceptional problem‑solving and analytical skills.
- Strong communication and interpersonal abilities to work effectively across teams and with external vendors.
- Detail‑oriented with excellent organizational and documentation skills.
- Workday Certification in Payroll and/or Time Tracking is preferred.
- Certifications in Workday Security and/or Reporting are a plus.
- North‑East areas: $115,000 – $145,000
- Central/Southern areas: $100,000 – $130,000
The pay offered may be influenced by factors such as job location, scope of role, qualifications, education, experience, and specialty.
