About the Role Our client, an innovative and rapidly scaling technology startup based in Omaha, Nebraska , is seeking a seasoned General Counsel to lead its legal and compliance functions. This is a unique opportunity to shape the legal strategy of a fast-growing company from its foundational stages. The General Counsel will oversee all legal matters, including corporate governance, intellectual property, contracts, employment law, fundraising, and regulatory compliance. This is a Hybrid role, offering flexibility with some required in-office presence at our Omaha headquarters, ensuring close collaboration with the executive team and key departments.
Key Responsibilities - Provide strategic legal advice to the CEO, Board of Directors, and executive leadership team.
- Manage all aspects of corporate governance, including board meetings, shareholder communications, and compliance with corporate formalities.
- Oversee intellectual property strategy, including patent, trademark, and copyright protection.
- Draft, review, and negotiate a wide range of commercial agreements, including customer contracts, vendor agreements, and partnership agreements.
- Ensure compliance with all applicable federal, state, and local laws and regulations.
- Manage employment law matters, including policy development and dispute resolution.
- Lead fundraising efforts, including preparation of offering documents and negotiation of investment terms.
- Oversee data privacy and security compliance (e.g., GDPR, CCPA).
- Manage outside counsel relationships and budgets effectively.
- Develop and implement legal and compliance policies and procedures.
Requirements - Juris Doctor (J.D.) degree from an accredited law school.
- Admission to the Nebraska Bar in good standing, or eligible for admission.
- A minimum of 10 years of legal experience, with significant experience in corporate law, technology transactions, and intellectual property. Previous in-house counsel experience at a startup or technology company is highly preferred.
- Demonstrated experience advising on fundraising rounds (Series A, B, C, etc.).
- Strong understanding of IP law, contract law, employment law, and data privacy regulations.
- Excellent strategic thinking, problem-solving, and communication skills.
- Proven ability to manage multiple priorities and work effectively in a fast-paced, dynamic environment.
- Experience building and managing a legal department is a plus.
- Ability to operate independently and as a trusted advisor to senior leadership.
