Serve as a Transaction Support professional to help clients achieve their strategic goals, in acquiring or divesting assets. Examine financial statements to determine normalized cash flow and to determine the financial statements comply with laws and regulations. Inspect account books and/or accounting systems for efficiency and use of accepted accounting procedures. Organize and maintain financial records. Assess financial operations and make best-practices recommendations to management. Identify ways to improve the processes for finding and eliminating waste. Work on performance evaluations and help organizations plan the cost of doing business. Advise clients across the transaction lifecycle - from strategic assessment to implementation and post-deal integration. Identify key value drivers, challenge assumptions about future performance and work with other EY service teams to deliver an integrated service to clients. Participate in due diligence engagements related to acquisitions by private equity investor groups and strategic corporate buyers. Inform investment decisions by analyzing financial information to forecast business, industry, or economic conditions. Perform strategic development and execution of appropriate transaction structure, including the execution of financial due diligence. Analyze financial/operational results of targets. Identify post-acquisition action steps to achieve anticipated earnings/cash flow improvements. Correlate due diligence findings with client valuations. Interpret data on price, yield, stability, future investment-risk trends, and economic influences.

**MINIMUM REQUIREMENTS:**
Must have a Bachelor's degree in Accounting, Business, Finance or related field plus 5 years of progressive post-baccalaureate related work experience. Alternatively, will accept a Master's degree in Accounting, Business, Finance or related field plus 3 years of related work experience.
Must have 3 years of combined experience conducting external audits, financial due diligence and/ or tax due diligence experience with a public accounting or professional services firm.
Must have 2 years of combined experience supervising the planning, execution, reporting on audits and/or other due diligence of financial statements or taxes prepared in accordance with U.S. GAAS, U.S. GAAP and/or another foreign equivalent accepted accounting standard, such as IFRS.
Must have 2 years of combined experience supervising audit, financial due diligence and/ or tax due diligence teams consisting of two or more staff members.
Must have 1 year of experience in leading client-facing communication, conveying financial due diligence processes and solutions, business development activities, explanation of findings, solutions, and products to teams, clients, and business stakeholders.

Job Description
The Employment Senior Counsel provides legal advice and counsel and conducts training in all areas related to management-side employment advice and counsel pre-arbitration, pre-litigation and agency charges on topics including but not limited to compliance, accommodations, compensation, and employee separations. The Employment Senior Counsel collaborates with and aligns on strategy, action planning, and communication with HR, business units, other areas of Law & Regulation and outside counsel. This role conducts research, substantive drafting, reviewing, advising, and negotiating for more complex matters. As Senior Counsel, attorneys in this role will provide advice and guidance to more junior colleagues on the Labor & Employment team.
KEY RESPONSIBILITIES:- Provide advice and counsel to leadership, human resources and business units regarding a wide range of employment laws including joint employment, wage and hour, ADA, ADEA, FMLA, FLSA, OWBPA, OSHA, Title VII, and WARN, company policies and practices.
- Provide advice and counsel to human resources and business units to drive sound workplace practices and business outcomes, including consultation with outside counsel as needed to address employees globally, including employees located in Canada, India, Mexico and Northern Ireland.
- Manage complex disputes and provide cost oversight.
- Provide complex training to HR on various employment law issues, terminations, reductions in force, etc.
- Manage attorney demand letters, arbitrations, and other forms of dispute handling, participate in mediation/settlement conferences and prepare/review settlement papers as appropriate.
- Review and revise responses for agency complaints and requests.
- Evaluate use of outside counsel.
- In conjunction with outside counsel, create dispute resolution strategy for more complex matters.
- Take on formal leadership responsibilities for the Labor & Employment team at the request of the Director as well as the Vice President of Labor & Employment.
- It is expected for the individual hired for this role to be on site in the Chicago office twice per month.
- This job does not have supervisory duties.
- 4-year Bachelors Degree (Required).
- Juris Doctor (Required).
- 10 or more years of experience (Preferred).
- Prior employment litigation experience (Preferred).
- International employment law experience (Preferred).
- In lieu of the above education requirements, an equivalent combination of education and experience may be considered.
- License to practice law in any of the 50 U.S. states. (Required).
- Knowledge and experience litigating and/or managing employment law matters.
- Excellent analytical skills.
- Computer skills including Microsoft 365.
- Relevant experience within a reputable law firm or an in-house legal department for a mid- to large-sized company.
- Knowledge of legal holds and discovery processes.
Compensation
Compensation offered for this role is $134,400.00 - 217,350.00 annually and is based on experience and qualifications.
