Overview

The Associate General Counsel Healthcare Law will report to the Senior Vice President and Chief Legal Officer, serving as a trusted advisor on healthcare law matters for the organization. This position provides expert guidance on compliance, risk management, and solutions in the realm of healthcare laws and regulationsincluding Stark and Anti-kickback, provider contracting, medical staff, patient privacy, and hospital and medical group regulation. The role also involves monitoring legislative and regulatory developments in healthcare and advocating for organizational interests as laws and policies evolve. The position is ideal for experienced attorneys who have proven success independently managing complex and confidential legal issues, who can collaborate effectively with a diverse management team, and provide guidance in a fast-paced healthcare environment.

This is a hybrid role. On days when onsite activity is not required, individuals in this role may work remotely. All new hires are required to come to a designated Legacy Health office location in Portland, Oregon prior to their start date for a new hire health assessment and to complete new employee orientation.

Responsibilities

As an expert in a broad range of legal issues affecting health care providers with significant transactional and/or litigation experience, the Associate General Counsel provides legal advice, counsel, and representation of Legacy Health to ensure conformity with applicable laws and regulations. The Associate General Counsel manages all areas of legal compliance; litigation; contract negotiation and preparation, review, and development; and/or other areas as assigned by the Senior Vice President, Chief Legal Officer. The Associate General Counsel deals with highly confidential matters. Assignments usually involve unique or complex legal issues. The Associate General Counsel exercises a high degree of independent judgment, sets his or her own objectives with guidance from the Senior Vice President, Chief Legal Officer, and decides how to proceed to resolve difficult problems while following Legacy and Legal Services policies.

Qualifications

Education: Law degree from an accredited law school required with demonstrated achievement.

Experience: Minimum 5 years of legal experience.

Licensure

THE OPPORTUNITY

Reporting to our EVP, General Counsel & Corporate Secretary, you will provide and oversee the development, execution, analysis, interpretation and communication of healthcare law aspects to Vir Biotechnology. You will advise on privacy matters and provide strategic advice on healthcare compliance issues to the company.

This role is located in our San Francisco headquarters with an expectation of 4 days per week in office.

What You'll Do

  • Be the lead counsel for healthcare law issues related to our product candidates, including review of all external communications, participation in cross-functional committees charged with setting/implementing clinical and commercial development and reviewing scientific, clinical, and medical publications.
  • Support our transactional group by providing regulatory and compliance guidance for clinical trial agreements, consulting agreements, speaker agreements, purchase and distribution agreements, supply agreements, advisory board agreements, certain vendor services agreements, and other related agreements.
  • Support our clinical operations by providing review of Informed Consent Forms (ICFs), management of adverse events/patient injury issues, and handling of site specific issues/study promotions.
  • Advise internal teams on clinical, commercial, privacy, and governmental legal matters, including support for Freedom of Information Act (FOIA) requests.
  • Provide guidance on healthcare laws and regulations affecting biopharmaceutical products and operationsthis includes compliance, fraud and abuse, privacy, pharmacovigilance, product liability, advertising/labeling and other matters relevant to investigational and commercial therapeutic products.
  • Support our internal teams on healthcare compliance including the Food, Drug, and Cosmetic Act (FDCA), FDA guidance, U.S. PhRMA Code, Sunshine Act, HIPAA, Stark Law, Anti-Kickback Statute, GDPR, and similar regulations.
  • Provide compliance guidance related to contracting with HCPs, including conducting FMV analysis and transparency reporting with respect to our external advisory boards.
  • Develop practical legal solutions that align with our business objectives, policies, and industry best practices.
  • Draft, review, and negotiate clinical contracts, ensuring compliance with relevant regulations.
  • Collaborate with the Clinical Operations team, Legal team and external partners to ensure clinical agreements comply with business best practices and relevant country regulations.
  • Draft and negotiate other commercial and complex transactions as assigned.


Who You Are And What You Bring

  • Bachelor's degree and J.D. from a nationally accredited law school; and admitted and in good standing in a U.S. Jurisdiction (preferably California).
  • 15+ years as healthcare law counsel at a biotechnology or pharmaceutical company and/or a law firm supporting pharmaceutical/biotech clients.
  • Command of relevant laws, regulations, guidance and industry codes governing healthcare products, regulatory aspects of healthcare products, healthcare fraud and abuse, pharmacovigilance, GMP, advertising and labeling, product liability, pricing and reimbursement, antitrust, privacy, and other matters relevant to the development and the commercialization of biotechnology and pharmaceutical products.
  • Experienced in building, advising, and implementing compliance programs, following guidelines such as OIG and Federal Sentencing Guidelines.
  • Skilled at drafting, reviewing, and negotiating healthcare law agreements and related documents.
  • One or more of the following experiences is preferred:
      • General litigation and artificial intelligence
      • New product launches
      • Global clinical trials and data privacy experience

The expected salary range for this position is $235,500 - $29,500 per year. Actual pay will be determined based on experience, qualifications, geographic location, and other job-related factors.

Performs routine legal work in preparation of hearings cases, confers with the general public, witnesses, other attorneys and departmental personnel as it relates to the formal hearing process; serves as hearing representative for the Secretary of State at formal proceedings by presenting the State's case against the petitioner, calling and questioning witnesses and presenting evidence; conducts formal driver’s license hearings; reviews and analyzes formal hearings finding; utilizes a personal computer to prepare formal orders, including findings of facts, conclusion of law and recommendation, which may be up to 10 pages or more each, and which include the entry of Driver's License numbers, driving abstract entries, references to the Illinois Administrative Code and other statutory citations, court decision citations and footnotes, in compliance with statutory time constraints.

  • Reviews and analyzes formal hearing findings, petitioner's driving record and petitioner's eligibility for reinstatement or other driving relief; utilizes keyboard techniques of office automated system to prepare formal orders based on evidence presented at the hearing; submits the formal order for processing within the time standard set by the Department of Administrative Hearings.
  • Performs other duties as required or assigned.
Specific Skills:
  • Requires extensive knowledge of the common law and of the State and Federal laws relating to administrative and regulatory functions.
  • Requires extensive knowledge of judicial and quasi-judicial procedure and of the rules of evidence, hearings, and trial procedures.

Overview

Advises and coordinates legal activities of the Office of the Inspector General’s Office; conducts investigations and research activities to ensure   compliance with applicable statutes, rules and policies or for use in court cases regarding lobbying registration/reporting/compliance, employees, audits and procurement; engages in specialized legal and administrative work and performs complex technical functions in the drafting of administrative rules and/or legislation affecting the Office’s programs; counsels administrative officials on matters of policy and operational procedures; assists the General Counsel's office or Attorney General in the conduct of litigation on special cases which may have Important implications to the Offices of the Inspector General and Secretary of State.

Duties and Responsibilities:

  • Advises the Inspector General and other administrative staff concerning problems of a legal nature involving the operational programs of the Office; provides legal advice and consultation as needed throughout the Office pertaining to the administrative rules, regulations and other programs and policies; participates in the development and implementation of programs and procedures required to meet statutory compliance.
  • Researches, drafts and writes memoranda of law on legal issues as they relate to the Inspector General’s Office; reviews current and proposed legislation for legal sufficiency and statutory changes, as well as for the necessity of administrative rules; confers with Inspector General and advises administrative officials of potential problems related to legislation.
  • Advises the Inspector General concerning Office matters, including conflicts of interest or malfeasance of employees and the enforcement of appropriate portions of the Illinois law, federal law and Secretary of State policies and Rules in conjunction with other State and local law enforcements organizations; advises as attorney for the Office in adversary proceedings; presents evidence at hearings, examines and cross examines witnesses, makes initial and closing arguments to hearing officer; coordinates Investigations and confers with the Inspector General, Attorney General and General Counsel representing the Offices of the Inspector General and Secretary of State in legal proceedings.
  • Reviews current administrative rules, policies and procedures, etc. and proposes amendments as well as drafting new administrative rules when necessary to ensure adherence to accepted work standards, policies, rules and procedures within the Office, for procurement and for lobbying registration, reporting and compliance.
  • Advises the public, including attorneys, prosecutors, and court officials concerning statutory interpretation and compliance with laws and office procedures, etc. affecting the Office of the Inspector General and the Secretary of State’s Office; conducts in-depth legal research in response to serious issues faced by department directors, administrators and executive office involving Office programs and policies.
  • Performs other duties as required or assigned.

  • Requires extensive knowledge of the common law and of the State and Federal laws relating to administrative and regulatory functions.
  • Requires extensive knowledge of judicial and quasi-judicial procedure and of the rules of evidence, hearings, and trial procedures.

About the Role:

As a Pro Bono Legal Advisor at the Thaddeus Resource Center, you will be in an important role with being an advocate for women and girls in need. Your legal expertise will create empowerment in our clients through guidance, representation, and support in navigating legal challenges. By ensuring access to justice, you will contribute to our mission of restoring hope and inspiring growth.

Responsibilities:

  • Legal Consultations: Conduct primary consultations with clients to assess legal needs, and provide clear explanations of legal rights, options for the clients, and possible results of their cases.
  • Case Management: Will manage a caseload of legal matters ranging in family law, housing, employment, and immigration. Pro Bono Legal Advisors will also be responsible for drafting legal documents, petitions, and correspondence.
  • Advocacy and Representation: Provide clients with representation in court hearings, administrative proceedings, and negotiations while advocating for clients' rights and best interests.
  • Community Education: Organize legal workshops and informational sessions for clients, and raise awareness about legal rights and resources that are available.
  • Collaboration: Pro Bono Legal Advisors will work together with other Thaddeus Resource Center staff, volunteers, and external legal partners. Pro Bono Legal Advisors will also be required to participate in case conferences and multidisciplinary team meetings.

Requirements:

  • Must currently reside in California.
  • Licensed Attorneys are required to be admitted to the California State Bar, and be experienced in relevant legal areas.
  • Licensed Attorneys must be able to show empathy and compassion to create a connection with diverse clients and understand their unique circumstances.

Coordinates investigations with state prosecutorial agencies, foreign/state regulatory agencies and federal regulatory agencies and federal regulatory and prosecutorial agencies.
  • Responds to inquiries from private attorneys and the securities industry-with respect to the status, meaning,-mechanics and, technical requirements of the Illinois Securities Law of 1953. Keeps up to date with the securities industry by attending seminars/training provided through NASAA, NASD and other regulatory agencies; develops and presents educational and financial literacy programs related to the securities industry to interested groups and organizations.
  •  Makes recommendations regarding outcome of investigations to Assistant Director recommending course of action to be taken by the department.
  • Provides advice and counsel to examiners and auditors "regarding, background searches of public records and other state agencies for organizational documents and prior activities of possible respondents. Extensive travel statewide is required.
  • Researches, drafts and writes memoranda of law on complex legal issues as they relate to securities law enforcement; proposes rules and statutory changes to the Director participating in drafting legislation and amendments to the Rules and Regulations; confers with Director, Chief Deputy Director and Assistant Director or matters before state and federal courts.
  • Using effective automation techniques, reviews, analyzes and recommends action on cases before the office being handled by staff examiners, auditors and staff using automation updates and rewrites office forms and form letters for improved operation procedures.
