Position SummaryThe Solutions Architect in Legal Business Consulting plays a key role in delivering customized, technology-enabled solutions to legal departments and Reed Smith practice teams. Reporting to the Manager, Legal Business Consulting, this role combines strategic consulting and solution design with hands-on product enablement and client-facing execution. The Solutions Architect translates legal use cases into workflow-driven solutions, creates and delivers tailored demos, and identifies opportunities for innovation. The role involves exercising discretion and independent judgment to shape solutions, advise clients and teams, and ensure alignment with business and technical goals.
Key Responsibilities- Client Engagement and Advisory: Deliver innovative solutions supporting legal and business operations, assist in projects focused on AI transformation, contract lifecycle management (CLM), and process optimization. Collaborate with clients to understand needs, gather requirements, and document processes.
- Product Enablement and Demonstration: Design and deliver tailored demos across legal tech platforms, build demo environments, gather real-world use cases, and evaluate emerging tools and trends.
- Collaboration and Team Support: Work with Analysts and Managers to ensure high-quality deliverables, share knowledge, and promote team values.

A mid-sized law firm serving government contractors and commercial businesses is seeking a Partner with 10+ years of corporate law experience to join its Business & Transactions practice group. This is a leadership role for a seasoned attorney with a strong background in corporate transactions and deal-making. A portable book of business is preferred but not required.
Required Qualifications
- 10+ years of relevant corporate legal experience

Job Summary
The Vice President, Chief Counsel on the Voya corporate legal team will provide a broad range of legal advice and guidance to the enterprise on periodic reporting, transactional, financing, regulatory, executive compensation, and governance matters. The role will also provide support on insurance and reinsurance matters, and on the regulated insurance subsidiaries of Voya Financial. The Vice President, Chief Counsel may also support the Treasury team with various transactional matters. The ideal candidate has a demonstrated background in SEC Exchange Act filings, transactional matters, and executive compensation, with experience in insurance and reinsurance or a willingness and aptitude to gain subject matter expertise in such areas. The ideal candidate should also have flexibility and willingness to support a variety of other corporate legal needs as they arise. This position will be based in New York NY, Windsor CT, Minneapolis MN, or Atlanta GA.
Job Responsibilities
- Support SEC and other regulatory reporting for Voyas public holding and insurance companies, including SEC Exchange Act filings and insurance product prospectuses
- Provide support in financing and mergers and acquisition transactions
- Support the executive compensation team and related proxy reporting
- Provide hands-on legal support to Corporate Strategy and Insurance teams in negotiating a wide variety of insurance-related transactions, including financial and strategic reinsurance
- Provide ongoing advice and counsel to Voyas Insurance and Risk teams on legal and regulatory matters, including structured financial reinsurance support and support of Voyas legacy strategic reinsurance matters
- Provide guidance, in coordination with Voyas parent company governance team, on corporate governance matters, both at the parent and the insurance company level
- Advise on Holding Company Act compliance and reporting, including in respect of affiliate investment transactions
- Act as a trusted adviser to various enterprise functions, including Treasury, Strategy, Financial Planning and Analysis, Governance, Risk, Investor Relations and other teams
- Other responsibilities or projects as the role may evolve

Compensation Pay Disclosure:
Voya is committed to pay thats fair and equitable, which means comparable pay for comparable roles and responsibilities.
The below annual base salary range reflects the expected hiring range(s) for this position in the location(s) listed. In addition to base salary, Voya offers incentive opportunities (i.e., annual cash incentives, sales incentives, and/or long-term incentives) based on the role to reward the achievement of annual performance objectives. Please note that this salary information is solely for candidates hired to perform work within one of these locations, and refers to the amount Voya Financial is willing to pay at the time of this posting.
Actual compensation offered may vary from the posted salary range based upon the candidates geographic location, work experience, education, licensure requirements and/or skill level and will be finalized at the time of offer. Salaries for part-time roles will be prorated based upon the agreed upon number of hours to be regularly worked.

This role requires solid conceptual / practical grounding in the laws and regulations for the geographies in which we operate as it relates to M&A matters. This role has authority to negotiate and make independent decisions on issues / activities that have critical impact or influence on the company. This role is not a manager.
**Responsibilities:**
+ Serve as a partner and advisor on mergers, acquisitions, divestitures (including sell downs or spin offs), strategic joint ventures and strategic investments involving businesses or assets that are or will be integrated into Citi's management and financial reporting structure
+ Responsible for legal issues through preventative and proactive legal advice and identifying risk relating to M&A transactions
+ A subject matter expert who substantially influences the way things are done within Citi and/or the legal/financial services industry as it relates to M&A; their area of responsibility and has primary accountability for the end results
+ Serves as a partner to senior management or key regional management and/or primary advisor to senior business stakeholders, functional partners (e.g., Risk, Compliance, Finance, CAO, CCO), the Legal Management Council (LMC), Practice Group Heads, and/or Regional/Country Leadership on issues of Corporate Law
+ Key stakeholder in senior forums covering strategy, risk management, corporate governance, franchise reputation and/or highly complex or high-risk issues arising as part of job remit
+ Provides critical inputs and/or has shared responsibility with more senior management to determine and execute future strategy for the part of the organization that is managed
+ Exercises operational responsibility for planning, finances/budgeting, and execution of end results
+ Accomplish results by leveraging networks/connections, colleagues, and peers at competing institutions
+ Lead workstreams to analyze key implications of emerging and existing laws that impact the geography
+ Actively participate in various risk review and control forums while demonstrating keen awareness of issues that could cause financial, reputational, or legal consequences
+ Negotiates, coordinates, and monitors management of complex issues with senior leaders inside and outside the Legal Department to advise and influence strategy, and makes key decisions within area of responsibility, escalating where necessary
+ Proactively identify, evaluate, and contribute to the appropriate management of legal, regulatory, and reputational risk by collaborating with ICRM & Risk, following relevant legal developments, participating in internal projects, and performing other related tasks
+ Appropriately assess risk when business decisions are made, demonstrating particular consideration for the firm's reputation and safeguarding Citigroup, its clients and assets, by driving compliance with applicable laws, rules and regulations, adhering to Policy, applying sound ethical judgment regarding personal behavior, conduct and business practices, and escalating, managing and reporting control issues with transparency, as well as effectively supervise the activity of others and create accountability with those who fail to maintain these standards
**Qualifications:**
+ 15+ years of specific relevant Corporate Law experience with some experience working in an in-house legal role in financial services
+ Excellent leadership, interpersonal, organizational and relationship management skills
+ Experience in working with regulators/regulatory bodies is preferred
+ Proven ability to apply sound judgement while managing multiple assignments simultaneously in a demanding, fast-paced environment
+ Knowledge and expertise on specific laws, rules and regulations and enforcement actions related to Corporate Law while staying abreast of the changing regulatory and legal environment, internal policies and industry trends that impact the business
+ Experience with complex deals, demonstrated ability to analyze issues and develop recommendations
+ Effective communication and negotiation skills and ability to build and maintain trusted relationships
+ Bar license in good standing to practice law
