Job Summary:

You will serve as an established and productive individual contributor, managing defined components of legal projects or processes within your area of responsibility. You will apply practical knowledge of corporate, commercial and privacy law to analyze risk and provide legal advice on various in-house clients. You will be responsible for structuring, drafting and negotiating a variety of vendor and technical contracts. You will act as advisor on legal issues involving the organization's legal and regulatory compliance, serving as a subject matter expert on AI governance. Requires a law degree and membership in one state bar.

Key Responsibilities:
  • Structure, draft, and negotiate a wide variety of complex commercial agreements, including technology, professional services, sponsorships and partnerships, non-disclosure, and data sharing agreements.
  • Provide legal review, advice, and support on diverse legal matters, including strategic transactions, commercial contracting, licensing, and general corporate matters, while identifying and mitigating contractual and legal risks.
  • Serve as a trusted advisor to internal clients, offering guidance on cybersecurity preparedness, data breach response, regulatory compliance, internal and external AI products, insurance, contract interpretation, dispute resolution, and risk allocation.
  • Serve as the primary legal partner for AI technology, governance and policy stakeholders, providing practical legal risk mitigation strategies for AI and ML initiatives, across multiple jurisdictions, while ensuring alignment with global legal frameworks. Develop and maintain AI governance program.
  • Lead consensus building and coordinate legal advice across complex issues such as data protection, IP, intermediary liability, and consumer protection, collaborating with cross-functional teams on external communications, policy development, and product development and launches.
  • Advise clients on cybersecurity preparedness, data breach response, and regulatory compliance.
  • Administer legal documentation processes, ensuring accuracy and compliance with applicable laws and regulations.
  • Analyze complex legal scenarios to provide sound recommendations for organizational decision-making.
  • Communicate effectively with internal stakeholders to address legal concerns and resolve routine issues.
  • Develop complex legal contracts and agreements to support business operations.
  • Evaluate existing policies and procedures, identifying opportunities for improvement and ensuring compliance.
  • Implement processes to streamline legal workflows and enhance operational efficiency.
  • Coordinate complex legal matters, collaborating with cross-functional teams to achieve objectives.
  • Recommend strategies to address emerging legal issues and mitigate organizational risks.
  • Documents legal findings and decisions, maintaining comprehensive and accurate records for future reference.

+ Legal research and analysis related to state laws and regulations and market conduct findings reports.
+ Supports legal review, analysis, and outcomes of state mental health parity exams.
+ Legal review and assessment of any adverse state findings and consent orders.
+ Identifies and reviews legal risk for business areas/subject matter experts for purposes of assessing market conduct impact and corrective action plans.
+ Provides legal expertise on company-wide initiatives, which may require legal research and advice related to various parts of the CVS Health enterprise.
+ Works collaboratively and cross functionally with a variety of areas including other members of the legal department, Compliance, Government Affairs, Regulatory Affairs, and business operations teams to implement new laws and regulations for assigned areas.
+ Assists with onboarding junior-level staff to promote the development of departmental capabilities.

In depth knowledge of healthcare laws, regulations and industry standards governing the provision of healthcare.
Experience working with state and federal government agencies.
Healthcare laws and regulations including for example, ACA, Medicare, Medicaid, AWP/parity, pharmacy and/or mental health parity.
Experience working with PBMs and/or the pharmacy division of a health plan and/or with health plans.

The typical pay range for this role is:
$144,200.00 - $288,400.00

Primary Duties & Responsibilities
  • Review, draft, and negotiate contracts with customers and suppliers, confidentiality agreements, and other complex commercial agreements.
  • Provide guidance on business and legal risks to internal teams as needed.
  • Assist in implementing and maintaining appropriate policies and procedures to ensure the company's compliance with applicable laws and regulations, including privacy and consumer protection compliance, and assess potential risk where there might be alternatives.
  • Help build and improve form agreements and legal processes.
  • Act as a business partner to support the achievement of the organization's operational goals and strategies.
  • Work closely with other Legal Department colleagues on cross-business and cross-border transactions.
Education & Experience
  • 2-5 years of experience handling matters related to customer and supplier contracts. In-house experience or major law firm experience favorably considered.
  • Juris Doctorate and current Bar membership in good standing is required.
Skills
  • Superior written and oral communication skills, along with excellent presentation skills.
  • Ability to quickly establish a solid rapport and trust with the legal team and executives and develop strong working relationships with internal business partners.
  • Excellent strategic, organizational, and business process skills with the ability to follow through on numerous projects simultaneously and under tight deadlines.
  • Ability to work well independently, coupled with strong interpersonal skills, resourcefulness, and an ability to participate in a highly collaborative team environment.
  • Flexibility, strong commitment to professionalism, and collegiality.
  • Familiarity with Federal Procurement Regulations (FAR/DFARS/Etc) and contracting with the Federal Government and prime contractors is a plus.
