The State of Connecticut Judicial Branch, Superior Court Operations Division is seeking paralegals to assist staff with courtroom activities in the Superior Court.
Minimum Qualifications: Graduation from a paralegal studies program which earns the candidate a Paralegal Certificate or an Associates or Bachelor’s Degree in the field of Paralegal Studies. Other acceptable qualifications include a Bachelor’s Degree or other law-related experience.
Salary: $19.10 an hour.
Temporary Paralegal is a full-time position of up to 70 hours in a two-week pay period. Eligibility for group health insurance (medical and dental) is attained after having worked more than 60 days on a half time schedule during 4 bi-weekly periods. If elected within 30 days of hire, group term life insurance begins after six months of employment.

As Senior Legal Counsel, Ventures Investments and M&A Process, you will report to the Managing Senior Legal Counsel, M&A and Complex Transactions, and partner directly with the CVS Health Ventures, CVS Corporate Development and other business teams. You will provide CVS Health with legal advice related to venture capital investments, corporate and strategic transactions, including buy-side and sell-side M&A transactions, joint ventures and other non-customary strategic arrangements. You will be expected to be a self-starter who proactively advises our venture professionals in a fast-paced, high transaction volume environment, as they manage multiple ventures transactions simultaneously, ranging from SAFEs and seed financings to late stage investments and exits. You will advise and drive the full deal lifecycle from evaluation, deal structuring, diligence, through execution. You will develop and utilize a deep understanding of CVS Health's business operations and strategic goals, and identify business and legal risks and provide solutions which balance legal issues and business objectives. You will be expected to educate and align internal stakeholders, manage internal and external advisors, and navigate advisory and governance bodies.
**Primary Duties and Responsibilities**
+ Provide strategic and effective legal counsel on a wide range of corporate transactions
+ Lead and manage deal execution, ensuring alignment with business objectives and legal requirements
+ Draft and negotiate a variety of legal documents, including NDAs, term sheets, IOIs, LOIs, funding/purchase agreements, transaction agreements, governance memos and legal correspondence
+ Develop new and improve existing processes and best practices to ensure efficient legal support that enhance the Venture Investments and M&A functions, enabling the Venture Investments and M&A legal team to become a highly regarded center of excellence within the Legal Department
+ Collaborate with cross-functional teams (including CVS Health Ventures and CVS Corporate Development teams, and executive business and legal leaders) to support business initiatives
+ Identify potential legal risks related to minority investments and venture capital documentation, strategic transactions and transaction documentation, and advise on risk mitigation measures. Escalate legal, regulatory and business risks appropriately
+ Participate in cross-disciplinary and cross-divisional working groups and special projects
+ Monitor changes in laws in relevant area of expertise and ensure transactions adhere to applicable laws and standards
+ Evaluate and manage outside counsel effectively
**Required Qualifications:**
+ 7+ years of legal experience with a law firm or in-house, with extensive experience in venture capital, M&A and other strategic transactions
+ Bachelor's Degree and Juris Doctorate degree
+ Admission to practice law in at least one state and member in good standing of applicable state bar association(s).

**Pay Range**
The typical pay range for this role is:
$175,100.00 - $334,750.00
This pay range represents the base hourly rate or base annual full-time salary for all positions in the job grade within which this position falls. The actual base salary offer will depend on a variety of factors including experience, education, geography and other relevant factors. This position is eligible for a CVS Health bonus, commission or short-term incentive program in addition to the base pay range listed above. This position also includes an award target in the company's equity award program.
