About The Role
The Associate General Counsel, Corporate Governance and Securities is a highly skilled and detail-oriented attorney to support our public company obligations and corporate governance functions. The ideal candidate will be responsible for ensuring compliance with federal securities laws, advising on corporate governance best practices, managing board and committee matters, and working cross-functionally with teams across the organization.

What You Will Be Doing
Securities Law Compliance:
- Draft and review periodic filings with the SEC, including Forms 10-K, 10-Q, 8-K, Proxy Statements, and Section 16 filings (Forms 3, 4, 5)
- Ensure compliance with the Securities Exchange Act of 1934 and applicable rules of the NYSE
- Assist in the preparation and review of earnings releases, investor presentations, and related disclosures
- Support Insider Trading Policy administration and blackout period monitoring
- Advise on Regulation FD and public disclosure matters
- Support the management of outside counsel on various matters, as needed
- Support board and committee meetings, including preparing materials, resolutions, and meeting minutes
- Support maintenance of corporate records and governance documents, including bylaws, committee charters, and corporate policies
- Provide guidance on governance matters and emerging best practices
- Manage legal aspects of annual stockholder meetings and proxy statement development
- Collaborate with internal stakeholders in Finance, IR, HR, and Compliance to ensure alignment and information flow

- Assist with corporate transactions, including M&A, financing, and strategic partnerships
What You Bring
- JD. from an accredited law school and active bar membership in good standing in Arizona
- 6+ years of relevant legal experience, including significant securities law and corporate governance experience

The compensation for this position is determined based on several factors, including the candidate's experience, qualifications, and the specific requirements of the role. Final salary offers will be discussed during the interview process and will reflect the candidate's skills and the company's compensation structure.
The range for this role is $180,000 - $75,000 per year.

MyKaarma is seeking an experienced Associate Legal Counsel to support our fast-growing B2B SaaS business. Reporting directly to the CEO, you'll be the primary legal advisor across commercial operations-owning contract negotiations, ensuring compliance with telecom and privacy regulations (TCPA, CAN-SPAM, Do-Not-Call, GDPR, CCPA), and building a scalable legal infrastructure.

As Director of Employment, you will play a critical role in overseeing all aspects of employment law, policy, and compliance across our operations. You will work closely with HR, Benefits, Payroll, and Retail teams to ensure that our companies remain compliant with local, state, federal, and international labor laws, while also addressing a wide range of legal matters related to our workforce.

RESPONSIBILITIES
US Employment Law:
- Advise on a broad range of US employment matters, with an emphasis on California employment law, including wage and hour issues, employee classification, harassment, discrimination, and retaliation claims, and leave and accommodations issues.
- Provide legal guidance on employee relations, terminations, workplace investigations, and dispute resolution.
- Draft employment-related agreements, notices, and communications.

Crystal Stairs, Inc., a California nonprofit corporation dedicated to child care development for working low-income families, is looking for a dedicated, mission-driven Junior Staff Counsel who along with the Chief Compliance Officer/General Counsel serves as internal legal counsel to Crystal Stairs.
Along with the Chief Compliance Officer & General Counsel, the Junior Staff Counsel serves as the internal legal counsel to Crystal Stairs, representing the non-profit corporation in the areas of labor and employment, contract, corporate, property, and intellectual property. The Junior Staff Counsel will have the primary responsibility for contract matters including drafting, reviewing, negotiating and training. Junior Staff Counsel will also be responsible for maintaining a contract database to track the life cycle of contracts.
Key Responsibilities:
- Draft, review and negotiate (if applicable) a wide variety of contractual-related documents including, but not limited to funding contracts, grants, vendor contracts, subcontracts, leases, releases, MOUs, programmatic agreements, work orders, amendments, and termination notices.
- Manage a contract management system to regulate the contract process workflow.
- Ensure compliance with Crystal Stairs' policies and procedures, County, state, and federal laws, and other applicable rules and regulations.
- Assist in the development and implementation of policies and procedures, and training.
- With general guidance from the General Counsel, conduct research and provide advice and counsel to Crystal Stairs with respect to the legal areas of lease and real estate, contracts, labor and employment, corporate and corporate governance, property, and intellectual property.
- Assist with corporate flings, insurance applications and requests, and board governance matters as assigned by supervisor.

Experience, Knowledge, Skills and Abilities:
- Member of the California Bar in good standing; Law degree from a nationally accredited law school
- Minimum of 2 years of experience as a practicing attorney; one year of experience working in-house as corporate counsel preferred
- One year of solid experience drafting and reviewing contracts required
- Knowledge of contract law principles required
- Knowledge of contract management systems or software preferred
- Knowledge of Microsoft Office Suite required
- Possess excellent verbal and written communication skills

FanDuel is looking to add an In-House Counsel to our legal team with 8+ years of experience working at a nationally-recognized law firm or in-house at an internet/technology company to oversee the drafting and negotiation of high value commercial contracts, assist with day-to-day legal matters, and advise the business on marketing and intellectual property issues. Reporting to the SVP - Legal & Business Affairs, this position will support many of FanDuel's business teams.
In addition to the specific responsibilities outlined above, employees may be required to perform other such duties as assigned by the Company. This ensures operational flexibility and allows the Company to meet evolving business needs.
THE GAME PLAN

- Independently draft and negotiate a high volume of complex commercial and general enterprise contracts including high value agreements with vendors, sponsors and marketing partners.
- Provide well-reasoned advice to the business on contract negotiation and interpretation, and compliance with state and federal and intellectual property laws.
- Advise the various business teams on the gaming regulatory requirements for vendors and partners.
- Identify potential legal risks and develop creative strategies to mitigate risks.
- Build close relationships with personnel at supported business operations and obtain and maintain a strong knowledge of the product and objectives of those operations.
- Provide sound business judgment, confidence, a sense of ownership, drive, comfort making tough calls where the answer is not clear, and an aptitude to learn quickly the nuances of the internet, technology and media businesses.
What we're looking for in our next teammate
- JD from a top tier law school and member of at least one state bar
- 10+ years at a nationally-recognized law firm or internet/technology company, with a focus on marketing and IP issues highly preferred
- Experience drafting and negotiating complex commercial contracts
- Passion to work hard in a fast-paced environment
- Excellent communication (written and verbal)
- Detail-oriented, organized, efficient and resourceful

The applicable salary range for this position is $80,000 - 225,000 USD, which is dependent on a variety of factors including relevant experience, location, business needs and market demand. This role may offer the following benefits: medical, vision, and dental insurance; life insurance; disability insurance; a 401(k) matching program; among other employee benefits. This role may also be eligible for short-term or long-term incentive compensation, including, but not limited to, cash bonuses and stock program participation. This role includes paid personal time off and 14 paid company holidays. FanDuel offers paid sick time in accordance with all applicable state and federal laws.
