Job Description
Contract Drafting and Review
- Draft, review, and negotiate a wide range of contracts, including transportation agreements, warehousing contracts, service agreements, and vendor contracts
- Ensure that contracts are in compliance with relevant laws and regulations and reflect the best interferes of the company
Risk Management
- Identify potential legal risks and provide proactive advice and solutions to mitigate them
- Develop and implement strategies to protect the company’s interests and minimize legal exposure
- Regulatory Compliance
- Stay updated on federal, state, and local regulations pertaining to logistics, transportation, and warehouse management
- Provide guidance and support to ensure compliance with industry-specific regulations, including DOT, FMCSA, OSRA and others
Legal Research
- Conduct legal research to stay current with evolving legal trends and industry-specific issues
- Translate legal findings into actionable recommendations for the company
Dispute Resolution
- Assist in the resolution of disputes, including contract disputes, claims, and litigation matters
- Collaborate with outside counsel when necessary
Perform other duties as assigned or needed

Qualifications
- Juris Doctor (J.D.) degree from an ABA-accredited law school.

As Director of Employment, you will play a critical role in overseeing all aspects of employment law, policy, and compliance across our operations. Junior Staff Counsel

Job Summary:
Crystal Stairs, Inc., a California nonprofit corporation dedicated to child care development for working low-income families, is looking for a dedicated, mission-driven Junior Staff Counsel who along with the Chief Compliance Officer/General Counsel serves as internal legal counsel to Crystal Stairs.
Along with the Chief Compliance Officer & General Counsel, the Junior Staff Counsel serves as the internal legal counsel to Crystal Stairs, representing the non-profit corporation in the areas of labor and employment, contract, corporate, property, and intellectual property. The Junior Staff Counsel will have the primary responsibility for contract matters including drafting, reviewing, negotiating and training. Junior Staff Counsel will also be responsible for maintaining a contract database to track the life cycle of contracts.
Key Responsibilities:
- Draft, review and negotiate (if applicable) a wide variety of contractual-related documents including, but not limited to funding contracts, grants, vendor contracts, subcontracts, leases, releases, MOUs, programmatic agreements, work orders, amendments, and termination notices.
- Manage a contract management system to regulate the contract process workflow.
- Ensure compliance with Crystal Stairs' policies and procedures, County, state, and federal laws, and other applicable rules and regulations.
- Assist in the development and implementation of policies and procedures, and training.
- With general guidance from the General Counsel, conduct research and provide advice and counsel to Crystal Stairs with respect to the legal areas of lease and real estate, contracts, labor and employment, corporate and corporate governance, property, and intellectual property.
- Assist with corporate flings, insurance applications and requests, and board governance matters as assigned by supervisor.
- Other duties and special projects assigned by supervisor.
Experience, Knowledge, Skills and Abilities:
- Member of the California Bar in good standing; Law degree from a nationally accredited law school
- Minimum of 2 years of experience as a practicing attorney; one year of experience working in-house as corporate counsel preferred
- One year of solid experience drafting and reviewing contracts required
- Knowledge of contract law principles required
- Knowledge of contract management systems or software preferred
- Knowledge of Microsoft Office Suite required
- Possess excellent verbal and written communication skills
- Exhibit resourcefulness, self-confidence, and sound decision-making
- Demonstrate tolerance for a high degree of ambiguity
- Maintain "approachability" as an advisor; use tact and diplomacy in communicating with all levels of the Agency.
- Ability to quickly gain the confidence of the Executive Management Team and management staff
- Ability to provide sound legal advice based on thorough research and knowledge of the laws that affect corporate decisions
- Must have a broad business perspective and thorough understanding of the impact legal recommendations and actions will have on achieving Crystal Stairs' goals
- Ability to work in a dynamic and versatile environment while demonstrating a spirit of cooperation, competence, initiative, respect and teamwork
- Must be flexible regarding work responsibilities and processes and in style and approach to various day-to-day situations and changing and high-pressure circumstances

The Role
THE OPPORTUNITY:
The Netflix Marketing Legal team is seeking an experienced, talented and passionate lawyer to join our team in providing legal support across Netflix's Marketing, Publicity, Communications and Marketing Partnerships teams.
KEY RESPONSIBILITIES:
In this role, the successful candidate will work closely with other members of the Marketing legal team as well as cross functional legal and business teams, including Advertising, Consumer Products, Intellectual Property, Business and Legal Affairs, Labor, Privacy, Employment and Product Legal, to support the marketing and promotion of Netflix's content and its service. Responsibilities will include: drafting and negotiating marketing and marketing production-related agreements including MSAs/SOWs, PSAs, co-promotion, integration, sponsorship / partnership agreements, participant releases, talent/influencer agreements, event/venue agreements, licensing and promotion agreements; creating/managing/updating templates; preparing promotional terms and conditions including official rules for sweepstakes/contests; advising on marketing campaigns and activations including risk assessment and clearances; conducting rights analysis for licensor, talent and third party rights and approvals; providing advice on compliance with laws and regulatory matters; and preparing memos and guidance documents and conducting trainings as necessary to help increase legal acumen across teams.
This is a great opportunity for a marketing or advertising attorney to impart, hone and further develop specialized industry knowledge as part of our growing team (the Marketing Legal team is part of a larger Marketing, Advertising and Consumer Products/Experiences team).
This role is based in either Los Angeles, CA or New York, NY and reports into the Head of Marketing Legal UCAN. The ideal candidate will be intellectually curious, demonstrate great initiative, and be excited and inspired by the Netflix culture.
WHAT WE'RE LOOKING FOR:
- 5+ years of relevant experience as a lawyer, ideally including experience working in marketing and/or advertising, partnerships and promotions. Entertainment experience is also a plus.
- Ability to work autonomously and reliably within tight timeframes in a fast-paced, high-performance environment.
- Exceptional interpersonal and communication skills (both oral and written)
- Strong analytical capabilities and ability to exercise sound judgment in the absence of perfect information
