The Associate General Counsel Healthcare Law will report to the Senior Vice President and Chief Legal Officer, serving as a trusted advisor on healthcare law matters for the organization. This position provides expert guidance on compliance, risk management, and solutions in the realm of healthcare laws and regulationsincluding Stark and Anti-kickback, provider contracting, medical staff, patient privacy, and hospital and medical group regulation. The role also involves monitoring legislative and regulatory developments in healthcare and advocating for organizational interests as laws and policies evolve. The position is ideal for experienced attorneys who have proven success independently managing complex and confidential legal issues, who can collaborate effectively with a diverse management team, and provide guidance in a fast-paced healthcare environment.
This is a hybrid role. On days when onsite activity is not required, individuals in this role may work remotely. All new hires are required to come to a designated Legacy Health office location in Portland, Oregon prior to their start date for a new hire health assessment and to complete new employee orientation.

ResponsibilitiesAs an expert in a broad range of legal issues affecting health care providers with significant transactional and/or litigation experience, the Associate General Counsel provides legal advice, counsel, and representation of Legacy Health to ensure conformity with applicable laws and regulations. The Associate General Counsel manages all areas of legal compliance; litigation; contract negotiation and preparation, review, and development; and/or other areas as assigned by the Senior Vice President, Chief Legal Officer. The Associate General Counsel deals with highly confidential matters. Assignments usually involve unique or complex legal issues. The Associate General Counsel exercises a high degree of independent judgment, sets his or her own objectives with guidance from the Senior Vice President, Chief Legal Officer, and decides how to proceed to resolve difficult problems while following Legacy and Legal Services policies.
QualificationsEducation: Law degree from an accredited law school required with demonstrated achievement.
Experience: Minimum 5 years of legal experience.
Skills:

- Excellent oral and written communication skills.
Licensed to practice law in the applicable state. Membership in the State Bar of Oregon or eligibility for admission based on reciprocity is required.

THE OPPORTUNITY
Vir Biotechnology is looking for a dynamic and experienced Healthcare Law Attorney with compliance and privacy experience to join our Legal team as we further our mission of addressing unmet need in infectious diseases and other serious conditions. Reporting to our EVP, General Counsel & Corporate Secretary, you will provide and oversee the development, execution, analysis, interpretation and communication of healthcare law aspects to Vir Biotechnology. You will advise on privacy matters and provide strategic advice on healthcare compliance issues to the company.
This role is located in our San Francisco headquarters with an expectation of 4 days per week in office.
What You'll Do
- Be the lead counsel for healthcare law issues related to our product candidates, including review of all external communications, participation in cross-functional committees charged with setting/implementing clinical and commercial development and reviewing scientific, clinical, and medical publications.
- Support our transactional group by providing regulatory and compliance guidance for clinical trial agreements, consulting agreements, speaker agreements, purchase and distribution agreements, supply agreements, advisory board agreements, certain vendor services agreements, and other related agreements.
- Support our clinical operations by providing review of Informed Consent Forms (ICFs), management of adverse events/patient injury issues, and handling of site specific issues/study promotions.
- Advise internal teams on clinical, commercial, privacy, and governmental legal matters, including support for Freedom of Information Act (FOIA) requests.
- Provide guidance on healthcare laws and regulations affecting biopharmaceutical products and operationsthis includes compliance, fraud and abuse, privacy, pharmacovigilance, product liability, advertising/labeling and other matters relevant to investigational and commercial therapeutic products.
- Support our internal teams on healthcare compliance including the Food, Drug, and Cosmetic Act (FDCA), FDA guidance, U.S. PhRMA Code, Sunshine Act, HIPAA, Stark Law, Anti-Kickback Statute, GDPR, and similar regulations.
- Provide compliance guidance related to contracting with HCPs, including conducting FMV analysis and transparency reporting with respect to our external advisory boards.
- Develop practical legal solutions that align with our business objectives, policies, and industry best practices.
- Draft, review, and negotiate clinical contracts, ensuring compliance with relevant regulations.
- Collaborate with the Clinical Operations team, Legal team and external partners to ensure clinical agreements comply with business best practices and relevant country regulations.
- Draft and negotiate other commercial and complex transactions as assigned.
- Bachelor's degree and J.D. from a nationally accredited law school; and admitted and in good standing in a U.S. Jurisdiction (preferably California).
- 15+ years as healthcare law counsel at a biotechnology or pharmaceutical company and/or a law firm supporting pharmaceutical/biotech clients.
- Command of relevant laws, regulations, guidance and industry codes governing healthcare products, regulatory aspects of healthcare products, healthcare fraud and abuse, pharmacovigilance, GMP, advertising and labeling, product liability, pricing and reimbursement, antitrust, privacy, and other matters relevant to the development and the commercialization of biotechnology and pharmaceutical products.
- Experienced in building, advising, and implementing compliance programs, following guidelines such as OIG and Federal Sentencing Guidelines.
- Skilled at drafting, reviewing, and negotiating healthcare law agreements and related documents.
- One or more of the following experiences is preferred:
- General litigation and artificial intelligence
- New product launches
- Global clinical trials and data privacy experience
The expected salary range for this position is $235,500 - $29,500 per year. Actual pay will be determined based on experience, qualifications, geographic location, and other job-related factors.

Compensation Data

Duties & Responsibilities
• Collaborate with various areas throughout the organization, including patient and internal product and asset teams, as well as other business partners regarding communications, marketing, and promotional activities in compliance with applicable laws and regulations.
Provide day-to-day advice on patient support strategy and engagements.
• Counsel on day-to-day activities such as support programs, copays, coupons, gift cards, email marketing, text message marketing, charitable marketing, advertising copy review, claim substantiation, and privacy compliance.
• Assist with investigations and resolutions of compliance issues, including responding to challenges from competitors, governmental agencies, or other self-regulatory authorities regarding product claims, comparative advertising, and other regulatory related matters.
• Prepares complex legal documents, including letters, notices, legal opinions, contracts, and corporate documents, etc. Often supervises more junior attorneys in the drafting of such documents.
• Influences clients by identifying and communicating to clients risks associated with complex business activities within lawyer's broad understanding of several specialized legal areas; helps identify risks in areas outside lawyer's specialized legal area and provides value-added corporate law insight to evaluate risks effectively; provides training and business advice to clients on applicable legal issues within lawyer’s broad legal expertise.
• Partners with clients by considering immediate business/legal issues in a broader business context and identifying broader business purposes and objectives; proactively applies broad legal expertise to address both the specific business activity and influence the broader business purposes and objectives; developing alternative fact hypotheticals and legal solutions to clarify options and enable the achievement of successful business outcomes.
• Confers with other in-house and outside counsel where appropriate. Also advises, partners with or engages inhouse or outside counsel where appropriate.
Requirements

- Collaborate with various areas throughout the organization, including patient and internal product and asset teams, as well as other business partners regarding communications, marketing, and promotional activities in compliance with applicable laws and regulations.
Provide day-to-day advice on patient support strategy and engagements.
- Counsel on day-to-day activities such as support programs, copays, coupons, gift cards, email marketing, text message marketing, charitable marketing, advertising copy review, claim substantiation, and privacy compliance.
- Assist with investigations and resolutions of compliance issues, including responding to challenges from competitors, governmental agencies, or other self-regulatory authorities regarding product claims, comparative advertising, and other regulatory related matters.
- Prepares complex legal documents, including letters, notices, legal opinions, contracts, and corporate documents, etc. Often supervises more junior attorneys in the drafting of such documents.
- Influences clients by identifying and communicating to clients risks associated with complex business activities within lawyer's broad understanding of several specialized legal areas; helps identify risks in areas outside lawyer's specialized legal area and provides value-added corporate law insight to evaluate risks effectively; provides training and business advice to clients on applicable legal issues within lawyer's broad legal expertise.
- Partners with clients by considering immediate business/legal issues in a broader business context and identifying broader business purposes and objectives; proactively applies broad legal expertise to address both the specific business activity and influence the broader business purposes and objectives; developing alternative fact hypotheticals and legal solutions to clarify options and enable the achievement of successful business outcomes.
- Confers with other in-house and outside counsel where appropriate. Also advises, partners with or engages inhouse or outside counsel where appropriate.

KLA is seeking a highly motivated and detailed Compliance Specialist to join our Ethics & Legal Compliance team within the Legal & Compliance Organization. The Compliance Specialist will play a key role in supporting KLA's global compliance program, with a focus on anti-corruption, conflicts-of-interest, and third-party compliance efforts. The role requires strong project management skills, attention to detail, and the ability to work collaboratively across departments in a fast-paced environment to ensure sound risk management and global regulatory alignment. The successful candidate will bring expertise in compliance across areas such as third-party due diligence, conflicts of interest, and compliance data reporting, along with experience coordinating policy management platforms. This role also requires a proactive approach to cross-functional engagement, including close coordination with Internal Audit to identify and address risk areas and strengthen internal controls.
Key Responsibilities:-
General
Support the implementation and continuous improvement of KLA's global compliance program; lead and track compliance-related projects.
Policy Administration:
Be a project manager for policy administration across KLA. Maintain and evolve compliance-related policies, particularly around anti-bribery, gifts & entertainment, conflicts of interest, and third-party engagement. Prior experience with digital tools such as the NAVEX suite, including PolicyTech, and building O365 SharePoint sites is strongly preferred.
Third-Party Due Diligence & Management:
Lead end-to-end due diligence and risk assessments for third parties (involving state-owned enterprises or higher-risk jurisdictions), ensuring appropriate onboarding, renewal, and escalation processes are followed in accordance with anti-corruption laws and KLA policies.
Conflicts of Interest:
Administer and enhance the KLA conflicts of interest process, including disclosure reviews, mitigation planning, and employee training in partnership with HR and business units.
Metrics and Reporting:
Develop and lead dashboards and reporting tools to track compliance activities, identify trends, and report key insights to senior leaders and governance committees. Working experience with Power BI, Alteryx, Tableau, or other data analytics and/or visualization tools is a plus.
Cross-Functional Partnership:
Serve as a compliance advisor to business collaborators and work with Legal, HR, Procurement, Finance, and other key departments to support a culture of compliance.
Internal Audit Collaboration:
Work closely with Internal Audit to align on risk assessment priorities, share findings related to anti-corruption and third-party risk, and support audit readiness and remediation efforts.
Regulatory Monitoring:
Stay informed of legal and regulatory developments impacting anti-corruption and third-party risk, and recommend enhancements to policies and procedures as needed.

Demonstrated success working cross-functionally, particularly with Internal Audit or enterprise risk management functions.
Analytical approach with strong attention to detail and process improvement.
