Job Description

RBC Capital Markets seeks a Vice President, Investment Banking in New York, NY to

develop detailed financial models (including restructuring, financing, and Mergers & Acquisitions (M&A) models). Complete asset level due diligence on buyer/seller portfolio. Participate and/or conduct due diligence sessions with companies. Work with Analysts to develop financial models and pitch book materials, conduct company research, and analyze data to help advise current or prospective corporate clients on actual or prospective M&A transactions and corporate finance offerings. Execute capital markets transactions, including review of legal documents, completing Know Your Client, performing company-level due diligence, and preparing committee memos. Requirements: Bachelor's degree in Finance, Economics, or a closely related field, and 5 years of progressively responsible experience in the job offered or related experience in investment banking. Alternatively, employer will accept a Master's degree in Finance, Economics, or a closely related field, and 5 years of experience in the job offered or related experience in investment banking. Experience must include: Capital markets; spreadsheet modeling utilizing Microsoft Excel, including analysis at various prices, discounted cash flow analysis, ability to pay analysis, accretion/dilution, and leveraged buyout analysis; managing all aspects of transaction processes, including preparation of pitches, financial analyses, valuations, and marketing materials as well as conducting due diligence, managing day-to-day communication with client and counter-party; presenting analyses and deliverables in both internal and external meetings; transactional experience in both buy-side and sell-side mandates with public companies as well as fairness opinion assignments. Must also possess 1 year of experience mentoring and staffing junior members of a team.

The wage for this job is $275,000. This salary does not include other elements of total compensation, including a discretionary bonus and benefits such as a 401(k) program with company-matching contributions; health, dental, vision, life and disability insurance; and paid time-off plan.

This client is a leading independent investment bank specializing in providing strategic advisory services to clients across various industries. The Infrastructure, Power, Renewable (IPR) team is dedicated to delivering exceptional results through innovative solutions and deep industry expertise.

They are seeking a highly motivated and experienced Investment Banking VP to join their IPR team in NYC. The ideal candidate will have a strong background in sell-side M&A transactions, with a proven track record of managing deals from inception to completion.

Key Responsibilities:

• Lead the origination and execution of complex sell-side M&A transactions, overseeing all phases from initial pitch through closing.
• Drive the development of client deliverables, including strategic presentations, valuation analyses, and transaction marketing materials.
• Provide strategic guidance and mentorship to associates and analysts, ensuring high-quality execution and professional development.
• Manage client relationships, acting as a primary point of contact and trusted advisor throughout the transaction life-cycle.
• Oversee due diligence processes, coordinating with internal teams, clients, legal advisors, and other stakeholders to ensure seamless execution.
• Negotiate key transaction terms and support senior leadership in finalizing deal structures and closing documentation.
• Contribute to business development efforts by identifying new opportunities, preparing proposals, and participating in client meetings.

Qualifications (Vice President Level):

• Bachelor's degree in Finance, Economics, Business, or a related field; MBA or other advanced degree preferred.
• 6-10 years of experience in investment banking, with a strong track record of leading sell-side M&A transactions in the Infrastructure, Power, Renewables spaces
• Deep expertise in financial modeling, valuation methodologies, and transaction structuring.
• Proven ability to manage client relationships and lead deal teams in a high-pressure, deadline-driven environment.
• Exceptional communication, negotiation, and presentation skills.
• Strong leadership and project management capabilities, with a focus on mentoring junior team members.
• Highly organized and detail-oriented, with the ability to manage multiple transactions simultaneously.
