Job Duties:
- Lead and/or assist in the negotiation and drafting of various commercial contracts, including but not limited to confidentiality agreements, licensing agreements, collaboration agreements, vendor contracts, and professional services agreements.
- Conduct thorough risk assessments on proposed contracts, identifying potential legal and business risks, and providing strategic guidance to mitigate those risks.
- Manage contracts database.
- Collaborate cross-functionally with internal teams to understand business objectives and align contract terms accordingly.
- Stay up to date on relevant laws and regulations in the industry and ensure that all contracts adhere to legal and compliance standards.
Requirements:
- Juris Doctor degree from an accredited law school and membership in at least one U.S. state bar or Paralegal Certificate
- Minimum of 3 years' experience in commercial contract negotiation and contract drafting.
- Strong understanding of legal principles and contract law
- Excellent negotiation and communication skills.

**About the role:**
The **Commercial Contracts Manager** is part of the North America sales team reporting to the Director of Strategic Business Development and is responsible for driving contract excellence within the North America Sales organization. In this role, you will work with multiple stakeholders including sales, customer operations, and legal to drive customer expansion and accelerated sales growth while ensuring commercial compliance and mitigating contractual risk.

+ Partner with the North America Sales team to manage strategic customer contracts and Special Pricing Agreements (SPAs), ensuring commercial terms are competitive and aligned with business goals.

Your opportunity
+ Prepare, review, and assist Sales with US mutual fund distribution agreements for clients investing through third-party intermediaries, NSCC contracts, institutional clients, and clients investing in separately managed accounts.
+ Prepare and review contracts related to defined benefit contribution advisory programs and direct retail investments.
+ Manage intermediary mutual fund distribution contracts, including drafting updates, revisions and terminations as required.
+ Assist in managing relationships and contracts for separately managed accounts.
+ Prepares, analyzes, and drafted unregistered fund documentation covering private funds, collective investment trusts, liaising with third party service providers, and filing legal documents with appropriate entities as required.
+ Provide legal support for the review and negotiation of investment management agreements and other contracts for institutional clients.
+ Manage contracts lifecycle process for intermediary and institutional distribution agreements, including maintenance of contracts within a management system.
+ Assist lawyers with contracts and other matters related to the defined benefit contribution program and direct mutual fund shareholder investments.
+ Executes contract processing, including summarizing and tracking key contract terms, and performing contract follow-up activities as required.
+ Provides legal support to business development and sales teams, including the review and analysis of requests for proposals and due diligence questionnaires.
+ Support attorneys in the preparation and review of materials provided to boards of trustees. Includes coordinating and managing the collection of information from areas within Janus Henderson in connection with matters that are reported to the board on distribution.
+ Manage information provided to outside vendors as needed.
+ Assist attorneys in coordinating and responding to document production requests for internal audit, regulatory, or other Fund-related research.
+ Coordinate contract execution with internal/external clients.
+ Perform occasional legal research.
+ Interact with senior management and Sales with a high level of professionalism and customer service.
+ Carry out additional duties as assigned.

Must have skills
+ Previous experience as a paralegal
+ Advanced computer skills, including Microsoft Word, and Excel
Nice to have skills
+ Paralegal certification preferred
+ Experience in mutual fund/financial services industry preferred
+ Bachelor's degree or equivalent preferred
+ Some formal training in negotiation techniques preferred

Compensation information
The base salary range for this position is $90,000-100,000. This range is estimated for this role. Actual pay may be different. This role will be posted through May 16, 2025.
