PRIMARY PURPOSE OF POSITION
This position is a Lead position over one of a few teams within the Generation Compliance & Training Organization (Generation Liaisons, Training, Generation Compliance, and PPA & Contract Management) The Lead will be responsible to work with the Sr Manager Generation Compliance & Training to develop and establish the goals for the team while developing the correct strategic vision to allow the team to grow. The Lead should be a SME on the team for all functions and work to coordinate across all groups of Portfolio Operations and the other groups throughout Constellation. Will facilitate internal issues through management processes to obtain stakeholder involvement and ensure organizational alignment on issues and participate in the development of Company positions.
PRIMARY DUTIES AND ACCOUNTABILITIES
- Maintain full accountability of respective group while ensuring a culture of Compliance and teamwork is valued.
- Manage, and report compliance activity through applicable CEG procedures, standards and requirements. Recommend enhancements to current practices and procedures to drive continuous improvement. Identify compliance and/or training improvements that require follow-up or investigation and drive to resolution.
- Responsible for evaluation, tracking and reporting of CEG compliance with Regulatory requirements in the respective area. Ensure timely self-reporting of any compliance issues and timely response to requests. Ensure appropriate procedures are in place to manage Generation requirements around Generation Outages & testing. Ensure an effective training Program is implemented to support our Real Time Trading & Operations Function. Ensure appropriate procedures are in place to manage all Commercial PPA's including onboarding and offboarding assets, management of contractual terms throughout the applicable period.
- Direct analysis and support to leadership for the Generation Compliance program (i.e. NERC Compliance Program/Wholesale Generation Compliance Program) including ongoing reporting of performance improvements, organizational initiatives and compliance related communications.
- Represent the team on all aspects of compliance and support the efforts through the various ISO, NERC and RE committees or other industry forums to facilitate benchmarking and continuous improvement.
- Maintain an environment that fosters accountability, high performance and continuous improvement.
- Oversee compliance software application, testing, and development. Assist IT in the development and maintenance of tools needed to track compliance, support audits and store necessary information and approvals
- Bachelor's Degree in Engineering, Business, Mathematics, Economics, Statistics or related field
- 8-10 years relevant experience working in any combination of electric utility rates, regulatory, legal, transmission planning, operations or financial disciplines OR in lieu of Bachelor's degree, a minimum of 12-15 years of relevant experience is required
- Working knowledge with all control areas/RTOs/ISOs in which we operate: AESO, BPA, ERCOT, GSOC, ISO-NE, MISO, NYISO, PJM, SOCO, and SPP markets in the context of the wholesale business.
- Demonstrated excellent written and oral communication skills
- Proven ability to perform in a high-performance culture with tight timelines.
- Extremely detail-oriented and self-motivated with the ability to think independently and creatively.
- Masters Degree in Engineering, MBA or Law Degree
- Knowledge of FERC and NERC regulations and relevant statutory provisions
- Experience with ISO & RTO rules and the associated Market Participant stakeholder process
- 5 Years' Demonstrated knowledge and understanding of NERC and Regional Reliability Organization policies, organization and procedures

Job Summary:
We are seeking a Temporary Associate Director, Clinical Operations Compliance & Training, who will play a key role within Clinical Operations and is responsible for providing compliance support for the sponsored clinical trials with respect to the standard Operating Procedures, Good Clinical Practice (GCP), applicable regulatory requirements, and current industry standards and practices.
Duties and Responsibilities:
- SME for Clinical Operations personnel for issues relating to GCP, best practices, SOPs, non-compliance, etc.
- Support Clinical Operations Inspection Readiness initiatives.
- Support the development, revision, and continuous improvement of Clinical Operations SOPs, Work Instructions/Policies in compliance with GCP and regulatory requirements.
- Contribute to the development and execution of Clinical Operations training programs.

Requirements and Qualifications:
- RN or bachelor's or master's degree in biological sciences or a health-related field required.

TheDirector of Ethics and Compliance Training and Communicationsis responsible for leading the development, implementation, and oversight of ethics and compliance training programs in the United States. This role sits within the Global Compliance Operations team and reports directly to theSenior Director, Global Head of Ethics and Compliance Training and Communications.
The Director will lead the development, implementation, and continuous improvement of the U.S. strategy on training and awareness programs that promote a culture of ethics, integrity, and accountability. In addition, the Director will contribute to key enterprise-wide initiatives, collaborating with key stakeholders within the Office of Ethics and Compliance, to ensure alignment and consistency with enterprise priorities.
Essential Duties and Job Functions:
- Lead the development, implementation and continuous improvement of the U.S. ethics and compliance training and communications strategy, ensuring alignment with the global objectives, legal and regulatory requirements.
- Ensure all training programs support compliance with applicable laws (e.g., Anti-Kickback Statute, False Claims Act), industry codes (e.g., PhRMA), and internal policies.
- Lead the creation and delivery of engaging, effective training programs that reflect current risks, regulations, and business needs.
- Partner with U.S. Ethics & Compliance Advisors to develop training and communications informed by insights from monitoring, audits, investigations, and risk assessments.
- Lead field-based Business Conduct Compliance Liaisons and other stakeholders to ensure content is relevant, practical, and business-aligned.
- Partner with senior leadership and key stakeholders to drive training completion, evaluate effectiveness training, and report actionable insights and key metrics to leadership.
- Support global ethics and compliance training and communications initiatives, contributing subject matter expertise to ensure consistency across regions.
- Provide guidance on compliance training requirements to business units and affiliates.
- Identify and implement new tools, technologies, and learning methods to enhance training outcomes and learner engagement.

**Job Description Summary**
The Senior Compliance Business Oversight Analyst provides objective guidance, support and advice to assigned portfolio, business or function to promote strong Compliance controls and processes are in effect to mitigate inherent associated risks. This role contributes to the development and implementation of Compliance programs related to all aspects of Compliance laws.
**Depth & Scope:**
+ Expected to exercise sound and expert independent professional judgment and discretion in interacting and communicating with staff and senior management of the Bank with respect to significant regulatory compliance risk matters.
+ Empowered to make prudent professional decisions in rendering advice and counsel to business lines or assigned areas, on compliance matters and regulatory risks which may impact performance of the business and overall enterprise strategies and objectives.
+ Expert level professional role requiring in-depth knowledge/expertise in Compliance and working knowledge of broader related areas
+ Provides advanced analysis and/or specialized reporting to support business partners, functional areas or centers of expertise
+ Research, review and maintain expertise on banking regulations and laws, banking policies and procedures, and consumer protection laws
+ Acts as the primary subject matter expert for regulations applicable to business partners and provides guidance, consultation and expert advice with respect to the business partners' compliance with such regulations directly related to the operations of the business
+ Creates training content and may train business partners on regulatory requirements
+ Advises the business with respect to the implementation of new and amended regulatory requirements
+ Independently reviews and utilizes discretion, judgement and specialized expertise in approving the documentation for business line use: disclosures; forms; customer-facing correspondence; operating procedures; and policies
+ Independently performs targeted and periodic monitoring of business activities for compliance with regulatory requirements and regulator expectation
+ Identifies and communicates areas of non-compliance and/or material control weaknesses
+ Responsible for the oversight of business partners' remediation of regulatory issues, including exercising discretion and independent judgment in reviewing and approving remediation action plans
+ Responsible for assessing regulatory risk associated with new products, services and other initiatives that have significant operational or financial impact
+ Integrates the broader organizational context into advice and solutions within the Compliance area
+ Understands the industry, competition and the factors that differentiate the organization
+ Leads projects of moderately to complex risks and resource requirements; may lead end-to-end processes or functional programs
+ Contact for business management, external/internal auditors, dealing with non-routine information
+ Recommends and implements solutions within own area of responsibility
+ May need to coordinate/integrate work with other areas as needed
+ Identifies and leads problem resolution for complex requirements related issues at all levels
**Education & Experience:**
+ Undergraduate degree or equivalent work experience
+ 5+ years of experience

+ Lead comprehensive training needs assessments through surveys, interviews, and stakeholder consultations to identify learning priorities
+ Collaborate with learning partners in the development and delivery of engaging training content through various modalities including e-learning, virtual and blended learning
+ Evaluate the effectiveness of training programs using metrics, course assessments and performance outcomes
+ Refine and strengthen training programs utilizing feedback and evaluations to better align with organizational goals
+ Collaborate with internal stakeholders to develop role-specific training pathways and development plans
+ Develop and implement training schedules and coordinate logistics for training sessions
+ Actively participate in regulatory reviews, internal audits, and compliance testing
+ Strong knowledge of adult learning principles and learning technologies

**Customer Accountabilities:**
+ Assists in the development and implementation of appropriate Compliance policies, processes and controls
+ Facilitates the periodic Compliance risk and self-assessment activities for designated business using TD's Enterprise Compliance Risk Assessment Framework
+ Monitors that assessments (monitoring, risk assessment etc.) are completed and communicated in a continuous and timely fashion
+ Guides and complements the assigned portfolio in terms of financial, regulatory and risk management requirements
+ Interacts with control functions within the organization
+ Develops analysis and insights, prepares and delivers management reporting necessary to promote accurate and thorough measurement of the risk factors present in various products
**Shareholder Accountabilities:**
+ Updates business line policies and Compliance Team procedures
+ Analyzes Compliance requirements and establishes they are properly written into requirements for business projects and approved at the appropriate levels
+ Works directly with business management, and with internal and external business partners (e.g., Internal Audit, external consultants) to respond to regulatory requests, findings, audits and/or examinations Keeps abreast of emerging issues, trends, and evolving regulatory requirements in the Compliance industry and assesses potential impacts
+ Coordinates with other Compliance partners and business governance and control partners to promote consistency in the application of Compliance programs and standards across the enterprise
+ Supports in determining risk exposure, mitigation, and controls for new products, marketing campaigns, and expansion of existing programs
+ Conducts enterprise wide annual risk assessment for all TD businesses
+ Supports the business lines with compliance/risk controls and periodically evaluates risk mitigation efforts to adjust as risk/department influences change
+ Protects the interests of the organization - identifies and manages risks, and promotes the prompt and thorough resolution of escalated non-standard, high risk issues
