This role emphasizes mergers and acquisitions (M& A), general business transactions, employment advice, and client relationship management.
Responsibilities:
- Work on mergers and acquisitions (M& A) transactions, including conducting due diligence, drafting and negotiating agreements, and overseeing deal closings.
- Provide strategic counsel on M& A structuring, regulatory compliance, and risk management.
- Advise clients on business transactions such as entity formation, securities filings, joint ventures, and corporate reorganizations.
- Draft, review, and negotiate legal documents, including purchase agreements, shareholder agreements, and employment contracts.

Requirements - Active attorney license in the state of California.
- Proven experience in transactional law, particularly mergers and acquisitions (M& A).
- Strong knowledge of corporate law, including entity formation and securities compliance.
- Exceptional drafting and negotiation skills for a variety of business agreements.
- Ability to conduct legal research and provide clear, actionable counsel.
- Experience advising on employment matters, including workplace policies.

Position Overview:
We are seeking a seasoned and highly skilled Senior Attorney with at least 8 years of substantive experience in complex real estate and corporate matters. The ideal candidate will play a critical role in leading transactions, advising clients, and mentoring junior associates.

Responsibilities:
- Provide expert legal counsel on corporate matters, including entity formation, governance, and regulatory compliance.
- Draft, structure, and negotiate contracts for diverse business transactions, such as mergers, acquisitions, partnerships, and service agreements.
- Lead due diligence reviews and risk assessments to support transactional efforts.
