- Hybrid - 3 days a week onsite in West Loop.
We are seeking a highly skilled Contract Attorney to join our client's U.S. Business Counsel and Franchising Team . This attorney will provide legal counsel and support to our franchising function, helping to create, review, and revise key agreements that support our relationships with franchisees. The position reports directly to the Senior Counsel of the U.S. Business Counsel and Franchising Team .
Key Responsibilities
- Assist in preparing and finalizing documentation for restaurant franchise transactions.
- Support transactions involving the sale and acquisition of restaurants (operator-to-operator, company-owned, and owner/operator sales).
- Provide legal guidance in alignment with company policies, ensuring consistency and best practices.
- Collaborate with colleagues across the Legal Department to support the U.S. leadership team.
- Interpret and apply franchise policies to individual transactions and situations.
- Draft, manage, and negotiate a variety of agreements with accuracy and attention to detail.
- Provide pragmatic and business-focused legal advice that helps achieve company objectives.
Required Qualifications
- Juris Doctor (JD) degree and license to practice law in the U.S.
- Transactional and/or franchise law experience strongly preferred.
- Strong technical expertise and understanding of U.S. legal system and laws.
- Proven experience drafting and managing agreements.
- Excellent interpersonal skills with the ability to influence and collaborate across teams.
- Strong written and verbal communication skills to engage with stakeholders at all levels.
- Results-oriented with a focus on achieving business objectives while maintaining compliance with laws and regulations.

We are seeking a detail-oriented and strategic Corporate Lawyer to join our client's legal team in San Francisco. This role will support a wide range of corporate governance, securities law, and regulatory matters, while helping manage risk and ensure compliance across the organization.
The ideal candidate will have experience in both law firm and in-house environments, with a strong understanding of SEC filings, equity and debt transactions, and corporate operations in a global context. This candidate should also be able to report on-site 2 days a week in San Francisco.
Key Responsibilities
+ Advise on corporate governance, regulatory compliance, contracts, and risk management under the supervision of the Deputy General Counsel
+ Provide expert legal counsel on federal and state securities laws and stock exchange regulations
+ Draft and review SEC filings, including Section 16 reports
+ Support equity and debt financing transactions, equity-based compensation plans, and related legal matters
+ Manage relationships with outside counsel as needed
+ Draft, review, and negotiate a wide range of corporate documents, including:
+ Business registration and dissolution paperwork
+ SEC filings
+ Employment agreements, vendor contracts, leases, NDAs, and governance documents

Qualifications
+ Juris Doctor (JD) from an accredited law school; active member in good standing of at least one U.S. state bar
+ 3-5 years of experience in corporate securities law; experience in both law firm and in-house roles preferred
+ Experience working with companies that have international subsidiaries is a plus
+ Strong familiarity with SEC filings, corporate governance, and investor relations
+ Knowledge of public company securities law and compliance with SEC/Nasdaq rules
+ Excellent analytical, communication, and writing skills
+ Ability to work independently and collaboratively in a fast-paced, global environment

We are seeking a Corporate Lawyer with 3 to 5 years of experience to join the legal team, providing support on regulatory, corporate, and compliance matters in a dynamic international financial environment. This role is ideal for proactive legal professionals with a strong background in financial regulation and a genuine interest in technology and evolving business models.
Key Responsibilities
Provide legal advice on financial regulation applicable locally and internationally (DFSA, VARA, FCA, FSA, etc.).
Support licensing processes and maintain relations with local and international regulatory authorities.
Draft, review, and negotiate a wide range of commercial contracts, including NDAs, SLAs, and cooperation agreements.
Assist in the development and review of internal policies (AML, KYC, governance, data protection, etc.).
Provide corporate support: entity formation, shareholder changes, board resolutions, corporate secretarial work.
Work closely with cross-functional teams (compliance, finance, operations, business).
Monitor regulatory developments and assess their legal impact on the business.
Requirements
