  • Reviews agreements, evaluates the documentation and authorization forms to identify problematic provisions and determine if the minimum requirements are met. Assists with reviewing joint venture and similar agreements for consistency with laws, government regulations, economic conditions, and company policies.

  • Remains current on state and federal laws, regulations and practices affecting company business.

  • Responsible for observing all Law Department practices and procedures and for observing all laws, regulations and other applicable obligations and company policies wherever and whenever business is conducted on behalf of the company. Expected to maintain a productive and safe working environment in accordance with established operating procedures and practices.

Job Qualifications:

  • Typically requires undergraduate and law school (LL.B. or J.D.) degrees and a license to practice law in the State of California or a jurisdiction in which the company does business and four or more years of progressively complex legal experience.

  • Must have an extensive understanding of state, federal and international legal principles, concepts, theory, laws, regulations, and practices as well as leadership skills including organizing, planning, scheduling, and coordinating workloads to meet established deadlines or milestones.

Must possess:

  • The ability to resolve complex legal issues.

Our client, an international luxury goods retailer, is seeking a highly skilled Senior Intellectual Property Counsel to join their US Legal Department. This role is pivotal in creating and implementing strategies and objectives, managing trademark disputes and litigations, supporting trademark clearances and prosecution as well as managing the Legal Anti-Diversion team.
Intellectual Property:
- Managing U.S. Intellectual Property disputes. This includes the following responsibilities:
o Draft and review cease and desist letters and other correspondence relating to IP infringements;
o Prepare opposition notices and cancellation petitions for USPTO;
o Negotiate, draft and revise settlement agreements;
o Manage international TM disputes and partner with US Head of Intellectual Property and global team to create universal strategy, implement the strategy in the US; and
o Manage relationships and case expectations with outside counsel handling TTAB proceedings and various intellectual property infringement matters.
- Create and implement IP strategies and objectives that align with global and regional priorities.
- Prosecute Trademark applications, including assisting in trademark clearance searches, advise Trademark Manager on responses to USPTO office actions and renewals.
- Advise key stakeholders on topics regarding copyright, patent, domain name and trade secret.
- Partner with the US Legal corporate team to prepare, draft and negotiate commercial contracts, as needed.

+ Provide title underwriting support and evaluate insurability of real estate transactions written by affiliated and third-party underwriters.
+ Partner with clients to develop and implement underwriting policies, procedures, and best practices.
+ Assist with legal and regulatory matters, such as expansion applications, rate filings, compliance issues, and responses to inquiries from regulatory bodies.
+ Write legal memoranda and provide training on underwriting, real estate law, and regulations affecting the industry.
+ Review and negotiate contracts (leases, vendor agreements, issuing agency contracts, etc.).
+ Conduct claims reviews and assist with claim resolution efforts.
+ Stay current on key legal and regulatory updates in the title, escrow, and real estate industries.
Requirements
Educational Requirements:
+ Juris Doctor (J.D.) from an accredited law school.
+ Active bar admission in at least one U.S. state (Texas preferred)
Professional Experience:
+ 5+ years of legal experience with a focus on title underwriting (multi-state/national experience strongly preferred).
+ Knowledge of RESPA and affiliated business regulations.
+ Hands-on experience in title claims, general litigation, corporate law, and regulatory compliance.
+ Demonstrated ability to manage multiple priorities, analyze complex underwriting/legal issues.
Skillset:
+ Strong legal research, writing, and communication skills, with the ability to present information persuasively and effectively train others.
+ Proficiency in Microsoft Office and relevant legal applications.
+ Expertise in analyzing data and identifying trends related to underwriting and regulatory risks.

The WCIRB is a California unincorporated, private, nonprofit association comprised of all companies licensed to transact workers' compensation insurance in California. Position Summary
We’re seeking a self-motivated, resourceful, curious and energetic attorney with at least 2 years of experience to join our legal team. Success in this role requires strategic, analytical and critical thinking, and the ability to work collaboratively with cross-functional teams. This role serves as an important resource for all teams at the WCIRB.

As Counsel, you’ll work closely with the Managing Counsel and Senior Vice President, Chief Legal Officer to advise on a wide range of legal and business issues. You’ll help identify risks, navigate complex matters and deliver clear, practical guidance to teams throughout the organization.

Essential Duties and Responsibilities
Typical duties include a mix of the following:

  • Provide legal advice and services in a wide range of areas, including but not limited to general business matters, regulatory compliance, privacy and security, administrative litigation, intellectual property, contracts, records retention, subpoenas and document production, procedures documentation, analysis of legislation, risk management and governance
  • Manage WCIRB intellectual property, including all copyright and trademark submissions
  • Negotiate and draft various contracts
  • Conduct staff training regarding a variety of legal topics
  • Collaborate with outside counsel and prepare cases on appeal to the Department of Insurance pertaining to the application of the Insurance Commissioner’s regulations
  • Conduct legal research on a wide range of issues and provide written analysis
  • Steady stream of analytical work, meetings, decision-making and research
  • Discretion, follow-through and analysis of collected information required
  • Respond to requests for information from employers, agents and brokers, attorneys, governmental agencies and insurers
  • Review external facing communications, publications, presentations, web postings and decisions prior to issuance to ensure compliance
  • Draft proposed revisions to the Insurance Commissioner’s regulations related to experience rating, the classification of risks and the reporting of workers’ compensation insurance data
  • Perform internal quality assurance reviews
  • Draft standard endorsement forms and policyholder notices; review insurer form filings for compliance with California law; and provide legal advice regarding endorsement form compliance issues

Education, Experience and Skill Qualifications

  • Juris Doctor degree
  • Two+ years’ attorney experience
  • Active membership in good standing with the State Bar of California required
  • Excellent analytical and writing skills, problem-solving capabilities and judgment
  • Strong attention to detail, accuracy and ability to manage multiple tasks effectively
  • Superior communication and a collaborative inclination
  • Ability to spot legal and business issues/risks and identify and effectively implement risk mitigation strategies with business partners
