Corporate Counsel - Corporate/Transactional
An hour north of Denver and ideally situated between Boulder, Fort Collins, and Greeley, JBS is the largest company headquartered in Colorado and one of the largest food companies in the world. We are seeking a motivated and proactive attorney to join our legal team, with a focus on corporate and transactional legal support with the intellectual curiosity and agility to handle a wide variety of complex legal matters involving varied business units and operations.
The Corporate Counsel will play a key role in supporting the company's legal needs related to commercial transactions and contract drafting, review and negotiation. This is a dynamic role that requires both legal expertise and business acumen to drive our strategic objectives. You will solve complex problems and work closely at times with external counsel, providing business insight and strategic input while ensuring efficient utilization of external law firms. As an advisor to the business, you will stay apprised of all relevant developments in relevant laws, regulations, and trends, and will train relevant stakeholders accordingly. You will frequently collaborate with teams across the Company to support business goals and ensure compliance with legal requirements. Additionally, you will stretch your skillset by frequently assisting with the wide range of legal matters facing a complex global organization.
RESPONSIBILITIES:
+ Drafting, reviewing, and negotiating a wide range of commercial agreements, including customer and vendor contracts, NDAs, service agreements, and licensing arrangements.
+ Supporting the implementation and ongoing management of the Company'sContract Lifecycle Management (CLM) platform, including process optimization, development of supporting materials, and user training.
+ Collaborating with the sales and marketing teams to provide legal guidance on customer agreements, promotional campaigns, advertising materials, and compliance with applicable regulations.
+ Assisting with corporate transactions such as mergers, acquisitions, and strategic alliancesby conducting due diligence and preparing supporting documentation.
+ Helping to develop and maintain internal contract templates, playbooks and training materials.
+ Monitoring legal and regulatory developments that may impact the business, and providing clear, timely, and business-oriented advice to stakeholders.
+ Supporting the Legal team's efforts to streamline workflows, improve document management, and enhance legal operations.
+ Other duties as assigned.
QUALIFICATIONS:
+ J.D. degree from an accredited U.S. law school with a strong academic record.
+ Minimum 3-5 years' experience as an attorney.
+ Law firm experience preferred.
+ Licensed and in good standing with the Colorado Bar, or in another U.S. state with eligibility for admission on motion to Colorado.
+ Excellent strategic and analytical skills and judgment, particularly in determining the significance of legal issuesin tandem with business objectives.
+ Strong interpersonal skills, including diplomacy and flexibility.
+ The ability to work well independently as well as on a team,and the ability to interface effectively with personnel at all levels throughout the Company.
+ Excellent written and verbal communication skills, with the ability to tailor communications and presentations to the specific intended audience in a way that is clear, concise, and persuasive
+ Ability to embody and project both confidence and humility.
+ Availability for occasional travel to other facilities, to attend Company events, or as a representative of the Company may be required. The most qualified candidate must be willing and able to travel as business needs dictate.

Job Summary:

The Corporate Counsel, Corporate & Securities will help oversee and direct all aspects of public company securities reporting and corporate governance obligations. Reporting to the Assistant General Counsel, your responsibilities will include review of all SEC filings, assistance with corporate secretarial matters, including preparation of board and committee materials, and support in other areas such a corporate compliance.
