Position Overview:
NRG is seeking an experienced Corporate Paralegal to become an integral part of the Subsidiary Management Team and partner with our dynamic Legal Department. The ideal candidate will be detail-oriented, motivated and proactive and have a strong background in corporate entity management. This position will assist in managing the corporate structure of a large publicly held company with approximately 300+ subsidiaries.
Key Responsibilities:
- Preparation and filing of corporate documents, including articles of incorporation, bylaws, limited liability company agreements and amendments.
- Conduct legal research to support corporate transactions and compliance matters.
- Draft and review various legal documents.
- Maintain and organize corporate records, including minute books and shareholder agreements.
- Assist with mergers and acquisitions, including due diligence and transaction closings.
- Prepare and file various regulatory documents with state and federal agencies.
- Coordinate and manage corporate governance matters, including board meetings and annual shareholder meetings; prepare related written consents.
- Maintain corporate entity database and prepare reports.
- Familiarity with public company legal requirements.

Qualifications:

- Proven track record in handling complex corporate transactions and compliance issues.
- Proficient in legal research tools and Microsoft Office Suite.
- Excellent written and verbal communication skills.
- Detail-oriented with strong organizational and time management abilities.
- Ability to work independently and collaboratively within a team.
- Ability to be flexible and pivot as needed.
Preferred Skills:
- Certification from a recognized paralegal association (e.g., NALA, NFPA).

Description Position Summary: AD’s Director of Corporate Development is responsible for managing activities relating to merger and acquisition projects at the company. The Tax Manager plays a key role in supporting the Tax Director by managing day-to-day tax compliance, reporting, and planning for the company and its related entities. The Tax Manager will work closely with the Tax Director to ensure accurate reporting, mentor team members, and help develop efficient tax and accounting practices to support the company's growth and regulatory compliance.
Duties/Responsibilities:
- Assist the Tax Director in overseeing tax and accounting segments of the company
- Prepare and review tax returns, manage tax reporting, and ensure that the company complies with all local, state and federal tax laws and regulations.
- Coordinate the preparation of State and local tax returns, franchise tax and sales and use tax
- Manage the preparation and review of assigned tax provisions, reconciliations, and annual statements.
- Collaborate with the legal department on state and federal compliance, NAIC filings, and licensure documentation.
- Provide support for dealer and captive client tax returns and manage accounting needs related to these clients.
- Conduct tax research and summarize findings to communicate relevant tax considerations to management.
- Implement effective tax planning strategies and compliance initiatives under the guidance of the Tax Director.
- Mentor junior staff on tax and accounting projects and participate in performance evaluations.
- Work with the Tax Director to develop effective operating procedures for the tax department.
- Engage and communicate with external partners, including auditors, actuaries, and other third-party vendors.
- Support the development and transition of business to the insurance management company.
- Perform other related duties as assigned by management.
- Bachelor's Degree in Accounting, Taxation, Finance, or related field, Master's preferred
- Minimum of 5+ years of corporate tax accounting experience
- CPA license preferred
- Insurance industry highly preferred
- Strong verbal and written communication skills, with the ability to explain complex tax matters clearly.
- Excellent organizational, time management, and detail-oriented skills.
- Strong analytical and problem-solving skills.
- Ability to prioritize tasks effectively and adapt to changing organizational needs.
- Proficiency with tax software and Microsoft Office Suite.

**The opportunity**
As part of Teva's "Pivot to Growth" strategy, global business development is a key pillar of the strategic framework for short-and long-term growth in the Innovative Medicines business. Global Business development encompasses the full spectrum of external opportunities as a critical growth engine with in-and out-licensing opportunities, strategic partnership opportunities, M&A for diversification, bolt-on, and/or inorganic growth opportunities, along with monetizing divestiture opportunities with non-core assets and non-core businesses. **How you'll spend your day**
+ Build complex financial models to evaluate potential acquisition targets and/or in-licensing opportunities
+ Analyze business development opportunities such as product/portfolio acquisitions and/or in-licensing related to innovative medicines, partnerships, collaborations and acquisitions of businesses in the pharma industry with focus on neuroscience and immunology but not only limited to these areas
+ Lead due diligence processes by screening/consolidating data and coordinating between broad interdisciplinary teams
+ Preparation of materials such as presentations/reports and other deliverables to support the departments activities
**Your experience and qualifications**
+ Bachelor's degree in finance, accounting, economic, legal or related field is required
+ Master's Degree in Economics or Business Administration an advantage
+ A minimium of two years of relevant financial experience - required
+ Investment banking or strategic consultancy firm is preferred
+ Strong analytical & presentation skills and have a unique attention for details

**Compensation Data**
The annual starting salary for this position is between $140,000 - 183,000 annually. Factors which may affect starting salary within this range and level of role may include geography/market, skills, education, experience and other qualifications of the successful candidate.
