**Your role and responsibilities**

The Director of Management leads the global Deal Management team to support the sales organization in structuring, reviewing, and approving complex deals. Responsibilities:
● Manage and mentor a team of deal desk analysts and specialists to support high-quality, timely deal execution.
● Partner with sales leadership to structure complex commercial proposals, ensuring alignment with pricing strategy, business goals, and margin targets.
● Review and approve non-standard deal terms, providing guidance on pricing, contract structures, and revenue recognition implications
● Serve as a liaison between Sales, Finance, Legal, and Operations to streamline deal workflows and resolve bottlenecks.
● Develop and enforce deal policies, pricing guidelines, approval matrices, and contract standards.
● Continually identify and drive process improvements, automation, and reporting to improve deal velocity and reduce sales cycle times.
● Analyze deal trends, KPIs, and pipeline forecasts to inform leadership decisions.
**Required technical and professional expertise**
● 6-8+ years of experience in/across deal desk, deal management and/or deal structuring with 2+ years in a leadership or managerial role at a software company
● Understanding of GAAP accounting standards with a strong knowledge base on ASC 605 and ASC 606.
● Experience with CPQ and quoting tools such as Salesforce or SAP
● Has developed and maintained standard deal desk processes, approval matrices and order terms
● Able to work in ambiguous environments under tight and unpredictable timelines
● Able to work with a high degree of autonomy

Warner Bros. Entertainment Inc. seeks a Lead for the Financial Contracts Reporting & Administration Deal Management department. The FCRA Deal Management department handles contractual reporting to talent and co-production companies on all of Warner Bros. film, television, home entertainment, games, and new media libraries. The Lead position is responsible for summarizing contractual provisions related to WB's contingent compensation reporting obligations. This role is responsible for preparing financial abstracts, tracking new deals, researching contractual deal points, and preparing ad-hoc special projects and analyses.
Your Role Accountabilities
+ Analyze, interpret and summarize complex financial reporting provisions of talent, production, and distribution agreements related to video game, home entertainment, television, and theatrical product.
+ Review agreement summaries prepared by other team members and provide feedback and training as necessary.
+ Liaise with business affairs, legal, and other key stakeholders to ensure financial reporting is in compliance with contractual intent and applicable laws.
+ Coordinate and communicate with various business units and groups within WB to identify and track both new product and revisions to existing financial agreements for library product.
+ Maintain status and workflow reports to ensure agreements and revisions are administered in a timely and accurate fashion.
+ Perform and/or supervise special projects, analysis and research (e.g. participant and auditor queries, etc.), including analyzing agreements, court documents, and financial statements.
+ Identify efficiencies in various procedures and make recommendations to management on methods for improvement while communicating any obstacles and challenges.
+ Assist in the implementation of appropriate internal controls (including SOX requirements).
Qualifications & Experience
+ Minimum 4 years related work experience required, preferably within entertainment industry.
+ Previous experience in participations preferred.
+ Experience with finance and/or accounting preferred.
+ Bachelor's degree, preferably in business or finance related field.
+ Extensive experience reading and interpreting legal agreements (experience with entertainment industry agreements strongly preferred).
+ Strong to expert competency with MS Excel and Word.
+ Must have excellent verbal and written communication skills including the ability to work effectively with attorneys across multiple business units.

About The Role

**The opportunity**
Deal Management - Health works on the most complex and high-profile global transactions, across a broad portfolio of clients and industry sectors. We are a group of experienced industry professionals with a background in operations who are serial transaction advisers, which enables us to bring a wealth of deep sector and functional knowledge to our clients. As a team, we prepare and execute separation and integration plans, identify ideas and sources of value enhancement, as well as advise on risk mitigation and the successful change of operations, functions and people.
**Your key responsibilities**
As a Director in Deal Management - Health, you will be a vital member of the team managing and executing projects focused on transaction strategy, transaction execution and partnership development, all occurring within the Health sector. This includes work with health systems, payer organizations, health care services organizations, large companies with specific needs in health care, health-focused government entities and other organizations with needs specific to the strategy or execution of organic and inorganic health care programs. Your role will also involve developing experience across the M&A lifecycle including pre-sign, sign-to-close and post-closing. Having a commercial mind-set is key to this consulting-based role. We value both experiences across the merger lifecycle and within the health care industry with a candidate having a strong desire to help healthcare clients on a range of challenging and greenfield engagements: partnership strategy and selection, board facilitation, Day 1/Day 100 planning, post-merger integration synergies and carve-outs / activations. Individuals with an interest in joining the Transaction Strategy and Execution - Health practice ideally have years of consulting experience, an ability to facilitate difficult conversations with junior and senior executives and Boards and deep knowledge regarding transactions involving clients who have a current health care capability or are looking to grow, partner or acquire one.

**To qualify for the role, you must have**
+ A bachelor's degree in Business, Accounting, Finance, or Healthcare related field and 5 years of related work experience; or a graduate degree and approximately 3 years of related work experience.
+ MBA or MHA graduate degrees are preferred.
+ Significant management consulting experience.
+ Deep knowledge of the health care industry, most specifically in one or more of the following sectors: health care providers, health plans/risk sharing and/or ancillary/service health businesses.
+ Experience related to mergers and/or acquisitions transactions, with specific Health sector M&A experience strongly preferred.
+ Excellent analytical skills and the confidence to translate complex data into meaningful insights.
+ Experience in business integrations, divestitures, and/or carve-outs with a demonstrated aptitude for quantitative and qualitative analysis.
+ Experience leading and managing in complex business environments.
+ The ability to make detailed assessments of technology, operations or manufacturing infrastructure.
+ The ability to synthesize approaches to complex integration/divestiture conflicts.
+ The ability to prioritize effectively on projects and the skills to adapt quickly to new challenges and concepts.
+ Excellent negotiation and influencing skills, and the ability to develop long-lasting relationships both internally and externally.
+ The ability and willingness to travel and work in excess of standard hours when necessary.
**Ideally, you'll also have**
+ A proven record of excellence in a mergers or acquisitions transactions role.
+ Experience gained within another large professional services organization.
+ Established knowledge and skills in the Health industry.
+ Reputation as a leader and high-functioning networker.
+ Knowledge of how to leverage AI tools in a business setting, including Microsoft Copilot.

+ We offer a comprehensive compensation and benefits package where you'll be rewarded based on your performance and recognized for the value you bring to the business. The base salary range for this job in all geographic locations in the US is $205,000 to $235,000. Individual salaries within those ranges are determined through a wide variety of factors including but not limited to education, experience, knowledge, skills and geography. In addition, our Total Rewards package includes medical and dental coverage, pension and 401(k) plans, and a wide range of paid time off options.
