General Counsel
Salary: $200,000-$250,000 + discretionary bonus
Our client is a Denver-based Family Office overseeing private equity investments, affiliated companies, and personal matters for its sole shareholder and family. They are seeking a 10+ years' General Counsel to advise senior leadership, manage legal affairs across diverse domains, and coordinate with external counsel when needed.
Key Responsibilities:
+ Legal Advisory & Risk Management: Provide strategic legal counsel to leadership; oversee insurance, privacy, cybersecurity, and risk mitigation for the firm and its shareholder's family.
+ Corporate Governance & HR: Develop internal policies, manage employment law matters, draft contracts and handbooks, and support onboarding and training.
+ Compliance & Transactions: Ensure regulatory compliance, manage entity formation and filings, and advise on M& A, financing, and joint ventures.
+ Contract & Real Estate Oversight: Review and negotiate a wide range of contracts including real estate, construction, and vendor agreements.
+ Trust & Estate Planning: Collaborate with external experts on tax and estate structures.
+ Private Equity Support: Conduct due diligence, draft deal documents, and serve on the Investment Review Committee.
+ Specialized Legal Areas:
+ Aviation: Support aircraft transactions and employment matters; liaise with FAA counsel.
+ Public Company Coordination: Review SEC disclosures and manage securities compliance.
+ Litigation Management: Assess legal risks, manage outside counsel, and oversee dispute resolution.
Candidates interested in this position should have 10+ years of legal experience from law firm or in-house settings. Family office experience is highly preferred. Requirements - A minimum of 10 years of legal experience, gained through law firm or in-house roles.
- Expertise in corporate law, including mergers and acquisitions, corporate governance, and risk management.
- Proven ability to draft and negotiate commercial contracts and agreements.
- Familiarity with private equity transactions and investment processes.
- Experience in trust and estate planning, including tax-related strategies.
- Knowledge of real estate law, including construction and vendor agreements.
- Strong understanding of securities regulations and compliance.
- Family office experience is highly preferred.

Job Title: Temporary / Contract General Counsel (3-6 Months)
Location: Onsite - San Jose, CA
Duration: 3-6 Months (with potential extension)
About the Role:
We are seeking an experienced General Counsel to provide hands-on legal leadership and support during a critical growth period. This onsite contract role offers an opportunity to work closely with senior leadership in a fast-paced, environmental and industrial sector company operating in a heavily regulated space.
The ideal candidate will bring a strong background in commercial transactions, regulatory compliance, and general corporate law. You'll advise executives, draft and negotiate complex agreements, and ensure the company remains compliant with all applicable federal, state, and local regulations.
Key Responsibilities:
+ Serve as the company's lead legal advisor on all corporate and commercial matters during the contract period.
+ Draft, review, and negotiate a variety of commercial agreements, including vendor, supply, distribution, licensing, and service contracts.
+ Provide guidance on environmental, industrial, and regulatory compliance issues.
+ Support business operations by identifying and mitigating legal risks.
+ Advise leadership on corporate governance, employment, and risk management matters as needed.
+ Collaborate with external counsel for specialized legal needs.
+ Develop or refine internal policies, templates, and procedures to support ongoing compliance and operational efficiency.
Requirements
Qualifications:
+ J.D. from an accredited law school and active California Bar membership (or ability to practice as in-house counsel in CA).
+ 10+ years of relevant legal experience, including prior in-house counsel or senior legal advisory experience.
+ Strong background in commercial transactions and contract negotiation.
+ Experience working in regulated industries, ideally environmental, manufacturing, energy, or industrial sectors.
+ Practical, business-oriented approach to problem-solving.
+ Ability to work independently, prioritize competing deadlines, and operate effectively in a dynamic, collaborative environment.
