Job Description:
The Head of Legal will play a crucial role in providing legal guidance and support across the organization. The position will report to the Chief Financial Officer. This position will oversee all legal disciplines for the company including corporate, regulatory compliance, IP, privacy, and commercial. The successful candidate will lead a small legal team of four while also being hands-on in managing and executing key legal functions. This role demands a proactive, hands-on leader who can balance strategic oversight with detailed contract work, ensuring that all contracts are compliant with applicable laws and regulations while mitigating risks and protecting the company's interests.

What You'll Do:
- Oversee all commercial contract negotiations (MSAs, EULAs, NDAs, reseller agreements, amendments, procurements, etc.) and corporate matters including employment, M&A, board matters, and financing.
- Provide legal advice and support on matters related to corporate governance, commercial transactions, intellectual property, mergers and acquisitions, human resources, international expansion, data privacy, compliance, and risk management.
- Manage outside legal advisor relationships and costs of those relationships. Bring the overall cost of legal down.
- Lead and mentor a small team of commercial legal professionals, fostering a collaborative and high-performance culture.
- Draft, review, and negotiate a variety of technology and commercial agreements, including but not limited to SaaS agreements, cloud-based services contracts, managed solutions agreements, and vendor agreements.
- Collaborate with internal stakeholders, including sales, finance, operations, HR, and product development teams, to ensure contracts align with business objectives and mitigate potential risks.
- Maintain and update all company default contract documentation
- Advise on legal issues related to the company's products and services, including new product launches and enhancements.
- Manage and resolve legal disputes, including contract disputes and regulatory compliance issues.
- Stay up-to-date with relevant laws and regulations affecting the technology industry and ensure the company's compliance with applicable legal requirements.
- Lead and/or collaborate the development and implementation of company policies and procedures to ensure legal compliance and mitigate risks.
- Lead corporate governance matters and other legal projects as required.
- Juris Doctor (JD) degree from an accredited law school and license to practice law in the U.S.
- Minimum of 8-15 years of relevant legal experience, preferably with a focus on technology.
- Ideally, 2-4 years at an Amlaw 50 firm or comparable experience with an emphasis in corporate law.
- In-depth knowledge of SaaS, cloud-based solutions, managed services, and vendor agreements.
- Strong understanding of intellectual property, data privacy, and regulatory compliance issues related to the technology industry.
- Proven ability to draft, review, and negotiate complex contracts with attention to detail and accuracy.
- Strategic thinker with sound business judgement.

Compensation Pay Range:

Salary Information
The base salary range is specific to the United States. The salary of the final candidate selected for this role will be set based on a variety of factors, including but not limited to internal equity, experience, education, work location, specialty and training. If the final candidate has a different level of experience, the base salary target range may be lower or higher than what is published.

The base salary range for this position in the selected city is $229900 - $468160 annually.
Compensation may vary outside of this range depending on a number of factors, including a candidate's qualifications, skills, competencies and experience, and location. Base pay is one part of the Total Package that is provided to compensate and recognize employees for their work, and this role may be eligible for additional discretionary bonuses/incentives, and restricted stock units.
