**Opportunity Overview**
The Senior Director of Compliance and Legal Risk Management plays an important leadership role in safeguarding the integrity and reputation of the organization. This role is responsible for developing and overseeing compliance policies, regulatory initiatives, and risk management strategies that align with evolving regulatory expectations and business goals. The Legal Counsel – Securities, Corporate Governance, & Capital Markets will play a critical role in advising the company on securities and corporate governance matters to support O-I’s global operations. This position is responsible for advising on the company’s compliance with securities law drafting and reviewing SEC filings, and providing legal guidance on complex financial transactions. The role will manage public disclosures, oversee public company obligations and have close collaboration with senior leadership and various departments.
PRINCIPAL ACCOUNTABILITIES

As a key member of the legal team, you will provide strategic legal counsel on a wide range of securities and corporate governance matters to support O-I’s global operations. Your responsibilities will include:
- Advising on securities law and corporate governance issues.
- Drafting and reviewing SEC filings, including Forms 10-K, 10-Q, 8-K, Section 16 filings, registration statements, proxy statements, and other regulatory disclosures and reports.
- Providing legal support for complex financial transactions, including capital markets activities and bank credit agreements.
- Ensuring public disclosures, including press releases, meet SEC and other regulatory requirements.
- Managing the company’s insider trading policy and 10b5-1 trading plans.
- Overseeing public company obligations such as annual shareholder meeting planning, director and officer questionnaires, related party transactions, and compliance calendars.

About the role
We are seeking a Legal Counsel to join our team and lead legal affairs for our operations in the United States. This role will provide strategic legal support across a range of initiatives, ensuring regulatory compliance and alignment with group-wide standards. Key Responsibilities
US Legal Operations
• Provide expert legal support for key strategic initiatives in the U.S., advising on legal and regulatory issues from planning through execution.
• Draft, review, and negotiate commercial agreements, including vendor contracts, partnership agreements, and leases where applicable.
• Advise on U.S. regulatory compliance, including but not limited to advertising regulations, data protection, and employment law.
• Conduct legal research and assess legal risks related to U.S. and global operations.
• Monitor and interpret evolving laws, regulations, and industry best practices to ensure the company remains compliant and forward-thinking.
Stakeholder & External Counsel Management
• Coordinate with external legal counsel in the U.S. to manage legal matters efficiently and effectively.
• Collaborate cross-functionally with internal teams and group-level stakeholders to align legal strategies with business objectives.
Group Legal & HQ Support
• Work closely with the headquarters legal team on projects or matters delegated from time to time.

• Participate actively in company-wide initiatives, contributing legal insight while maintaining a business-first, solutions-oriented mindset.
Qualifications
• J.D. from an accredited university.
• Licensed to practice law in California, or qualified in another common law jurisdiction with substantial experience in California law.
• Minimum of 5 years of relevant legal experience, ideally a combination of law firm and in-house counsel roles.
• Strong legal research and analytical capabilities, with the ability to manage projects independently and interpret complex U.S. legal frameworks.
• Experience in the AI, gaming, or broader technology sectors is a plus, particularly with regard to data privacy, trust and safety, and child/minor protection regulations.
