Join an award-winning team in the Office of Financial Management. Develop complex contracts, work assignments and amendments ensuring compliance with County requirements. Collaborate with the Office of the County Attorney, departmental staff and vendors as necessary throughout contract development. Minimum Qualifications:

Qualifications

Education:

  • Associate degree. Bachelor's degree in business, public administration, finance or related field preferred.

As an Enterprise Procurement Contracts Manager, you will:
+ Draft, prepare and review contract documents in accordance with established company policies and procedures designed to minimize potential exposure while maximizing benefits.
+ Negotiate all key terms of a variety of contract documents, including but not limited to Legal and business terms to provide the appropriate level of risk mitigation as well as value for the enterprise.
+ Analyze all contract requirements, special provisions, terms and conditions to ensure compliance with appropriate laws, regulations, corporate policies and business unit procedures and requirements.
+ Perform work on special projects as assigned by management with direct line of sight to senior leadership. Implement change and lead larger projects by managing larger group of Contract Analysts to effectuate progress for highly visible engagements.
+ Effectively communicate the importance and intent of all required terms and conditions to both internal and external stakeholders which is crucial to success in this role.
+ Regularly communicate with internal team members and business partners to draft and negotiate pertinent provisions and accurately memorialize specific terms and conditions into appropriate scopes of work, service level agreements, financial incentives, turn-around-times or similar documents.
+ Interact consistently with key CVS subject matter experts from areas such as Legal, Sourcing (both IT and Non-IT), Information Security, Risk Management, Privacy, Tax, various Finance areas i.e. IT Finance, FP&A, External Reporting among others) to ensure all current policies and procedures are reflected in contract documents and vendor communications.
+ Partner with Sourcing colleagues to support development of RFP requests by providing the necessary contractual documentation for participants to review as components of the exercise. Answer questions posed by participants' legal counsel in the course of RFP negotiations and ensure problematic provisions are introduced to business leaders as key focal points of internal consideration when determining awards.
+ Act as the key point of contact and communication between Legal, Finance, Senior Leadership, and business teams, as well as the vendor concerning status and resolution of escalated contract issues and disputes that cannot be resolved at the Senior Contracts Negotiator level.
+ Mentor and guide staff where appropriate to drive continuous improvement. Actively support the development of individuals and the team through appraisal, development planning coaching and mentoring.
+ Collaborate with other staff to maintain Enterprise Procurement Process Manual and templates: manages changes to the current Enterprise Procurement Process Manual and templates working directly with other internal stakeholders as necessary.
+ Accurately and comprehensively identify contractual risks and associated dangers (e.g,, limitation of liability, waiver of consequential damages, etc.) for purposes of escalation to Senior Leadership to properly investigate and advise various levels of CVS management on contractual issues thoroughly.
+ Work with various areas of the company Legal, Sourcing (both IT and Non-IT), Information Technology Security Team, Risk Management, Privacy Legal Team, Compliance, Internal Audit, Tax, various Finance areas i.e. IT Finance, FP&A, External Reporting to discuss new developments warranting inclusion in contract templates. Lead discussions and revisions to contract language reflecting new requirements and finalize new contract template documents through appropriate internal subject matter experts.
+ Routinely participate in presentations, webinars and roundtable discussions to engage and educate business departments enterprise-wide to promote compliance with Corporate Purchasing and Contracts Policies.
+ Demonstrate established proficiency utilizing all evolving technological tools (e.g., Microsoft Office, Word, Excel, PowerPoint, SAP/Ariba Contract Management, etc. to streamline daily tasks and communications.
+ Act as a subject matter expert when presenting to Senior Leadership on complex deal concepts and non-standard provisions requiring executive approval.

**Position Summary**
CVS Health has a dynamic opportunity for a Procurement Contracts Lead Director to join our dedicated team. As the Procurement Contracts Lead Director, you will report to the Executive Director, Procurement Contracts and be responsible for the overall strategy, direction and execution of the contracts management function for the CVS Health enterprise. + Act as the key point of contact and communication between Legal, Finance, Senior Leadership, and business teams, as well as the vendor concerning status and resolution of escalated contract issues and disputes that cannot be resolved at the Senior Contracts Negotiator level.
+ Mentor and guide staff where appropriate to drive continuous improvement. Actively support the development of individuals and the team through appraisal, development planning coaching and mentoring.
+ Collaborate with other staff to maintain Enterprise Procurement Process Manual and templates: manages changes to the current Enterprise Procurement Process Manual and templates working directly with other internal stakeholders as necessary.
+ Accurately and comprehensively identify contractual risks and associated dangers (e.g,, limitation of liability, waiver of consequential damages, etc.) for purposes of escalation to Senior Leadership to properly investigate and advise various levels of CVS management on contractual issues thoroughly.

**Position Summary**
CVS Health has a dynamic opportunity for a Procurement Contracts Lead Director to join our dedicated team. As the Procurement Contracts Lead Director, you will report to the Executive Director, Procurement Contracts and be responsible for the overall strategy, direction and execution of the contracts management function for the CVS Health enterprise. Your primary duties will include direct supplier negotiation for Non-Merchandise/Not for Resale transactions, negotiating contract terms and conditions for complex agreements and statements of work, and closely collaborating with business teams, executive leaders, Legal and other key stakeholders to advance the interests of CVS Health within our third-party vendor base.
Primary responsibilities include, but are not limited to, the following:
+ Establish and develop contract negotiation playbooks, clause libraries, policies and processes to independently support and advance specific categories
+ Provide dedicated training and education to members of the Procurement Contracts organization to better support and augment contract category specific needs
+ Serve as the primary point for your assigned categories for business leaders in the procurement planning and contracts process. Proactively build, establish and maintain relationships with key stakeholders, subject matter experts and decision-makers to appropriately deliver exceptional results compliant with corporate mandates.
+ Review and comment on all RFI, RFP, RFQ and contracts created by Enterprise Procurement on behalf of CVS Health.
+ Initiate processes to communicate effectively and succinctly with a diverse range of constituents, both verbally and on paper, and with all levels of a large organization.
+ Develop a continuous performance improvement culture
+ Implement contract modifications to accommodate regulatory, legislative, industry or legal changes.
+ Work with various areas of the company Legal, Sourcing (both IT and Non-IT), Information Technology Security Team, Risk Management Dept., Privacy Legal Team, Vendor Assessment Team, Compliance Dept., Internal Audit Dept., Tax Dept., various Finance areas i.e. IT Finance, FP&A, External Reporting to discuss new developments warranting inclusion in contract templates. Lead discussions and revisions to contract language reflecting new requirements and finalize new contract template documents through appropriate internal subject matter experts.
+ Regularly anticipate the needs of internal stakeholders of assigned categories throughout the organization to proactively support key initiatives to execute against tight deadlines and targets in a fast-paced environment focused on innovation.
+ Potentially manage a diverse group of individuals, in multiple locations, to ensure that all projects are completed accurately, completely and within timelines.
+ Regularly lead presentations, webinars and roundtable discussions to engage and educate business departments enterprise-wide to promote compliance with Corporate Purchasing and Contracts Policies.
+ Lead activities which ensure suppliers meet defined requirements, goals and targets.
+ Demonstrate established proficiency utilizing all evolving technological tools (e.g., Microsoft Office, Word, Excel, PowerPoint, SAP/Ariba Procure to Pay Suite of Applications i.e. eSourcing, Ariba Contract Management and Ariba Buyer, Microsoft Teams, etc.) to streamline daily tasks and communications.
+ Support the Contract Administration function, including aspects of Contract Administration Document Management, Process Workflows, and Reporting & Compliance requirements.
+ Update and maintain contract templates and other required documents as necessary.
**Hybrid Work Model:**
**The Enterprise Procurement Lead Director is required to report to the office on Tuesday and Wednesday each week, as well as 2 Thursdays per month.**
**Required Qualifications**
- 6+ years of experience working in a contracts support environment.
- 6+ years of experience drafting complex contractual documents, memorandum, and other relevant correspondence.
- A legal degree or degree in contract administration, public administration, business management or a closely related field is required.
**Preferred Qualifications**
- Proven ability to effectively manage efficient teams and/or large-scale, highly visible arrangements simultaneously
- Experience within the PBM, Retail and/or Healthcare Industries is preferred.
- Experience in negotiating non-merchandise/indirect commodity purchases of goods and/or services deals/contracts is preferred
- Experience with Ariba Contract Management or a similar contracts management system tool / platform is strongly preferred.
- Ability to balance project management, conflict resolution and potentially people management
- Ability to manage multiple cross-functional efforts simultaneously and effectively prioritize in order to maximize business impact in a fast-paced environment.
**Education**
- Masters or JD degree required
**Pay Range**
The typical pay range for this role is:
$100,000.00 - $231,540.00
This pay range represents the base hourly rate or base annual full-time salary for all positions in the job grade within which this position falls. The actual base salary offer will depend on a variety of factors including experience, education, geography and other relevant factors. This position is eligible for a CVS Health bonus, commission or short-term incentive program in addition to the base pay range listed above. This position also includes an award target in the company's equity award program.

+ This role manages all facets of the procurement and contract processes, including, but not limited to, the procurement of goods and services, professional services, construction contracts, and other contracts in accordance with all applicable federal, state, and local laws, policies and procedures.

**Areas of responsibility for the Procurement & Contracts Administrator include:**
+ PROCUREMENT COMPLIANCE: Continuously reviews, develops, recommends, and implements client procurement policies, methodologies, and procedures to ensure compliance with the purchase of goods and services needed. Maintains integrity of the public procurement process and ensures procurement practices are consistent, open, and designed to encourage maximum competition while obtaining the best value. Collaborates with stakeholders to formulate short and long-term strategic procurement plans and strategies to maximize buying power and quality while striving to minimize inefficiencies and costs. Align procurement strategies and tactics to deliver outcomes consistent with client guiding principles/goals/success criteria.
+ PROCUREMENT PROCESSES: Determines appropriate procurement methods. Develops, writes, and issues solicitations for needed goods and services with various complexities. Receives and evaluates solicitation responses, and determines award, or recommends award, of contracts within delegated authority. Meets with supplier and bidder community to solicit input, discuss problems, mediate or resolve disputes, and negotiate solicitation and contract issues to perpetuate bidder confidence. Performs due diligence for proposed new vendors to support appropriate vendor selection in alignment with procurement policies and best practices. Facilitates and manages procurement processes to be in compliance with client and jurisdictional policies/requirements. Manage documentation to drive transparency and accountability of the procurement process in a public environment.
+ CONTRACT ADMINISTRATION: Conducts selection and contract negotiations with suppliers. Consults with legal counsel as needed. Presents contract recommendations to the client Board as required. Reviews, creates, maintains, administers and executes purchase orders, contracts, change orders, and other documents and provides a link between department managers, leadership, and legal counsel. Reviews and authorizes requests to waive or exempt competitive procurements for transactions that may not require government body authorization. Supports emergency preparedness and incident procurement. Ensures post-award administration of contracts, including monitoring performance, scope, and end dates and renewals.
+ CONSULTATION: Serves as primary internal expert on all matters pertaining to procurement and contract administration, including providing guidance to staff and key leadership (including client Boards) related to purchasing rules and guidelines, as well as solicitation, bid, and contract awards under public disclosure laws.
+ TRAINING: Serves as primary point of responsibility for support on understanding procurement processes involving external vendors, including technical procurement processes within the client's enterprise resource planning software (ERP). Develops training content and job aids to support staff who are assigned roles within the procurement process.
+ CONTRACT DOCUMENTATION: Streamlines and standardizes administrative processing to ensure proper documentation of all contracts and purchases, including archiving related records. Tracks contract terms and renewal actions, working with designated departmental representative to ensure appropriate actions are taken.
+ LEGISLATIVE RESEARCH: Researches and communicates on potential impacts of proposed legislative items related to procurement issues.
+ END OF YEAR PROCESSING: Monitors and closes purchase orders and terminates annual contracts as needed at year end. Participates in formal audit processes by providing requested documentation related to Requests for Proposals (RFPs) and other procurements.
+ SOX control responsibilities may be part of this role, which are to be adhered to where applicable.
**Qualifications**
**Education:**
+ Associate degree. Bachelor's degree in business, public administration, finance or related field preferred.
**Experience:**
+ Five years of experience in Oregon public procurement and contracting procedures.
+ Experience with AIA, DBIA and proprietary contract documents.
+ Experience with design-bid-build, CM/GC and Design-Build/Progressive Design-Build Procurement and Contracting
**Certifications & Licensures:**
+ Professional purchasing certification(s) through a nationally recognized association, such as Certified Public Purchasing Officer (CPPO), or Certified Professional Public Buyer (CPPB), or an equivalent certification, is preferred.
