What you'll do.:

This position provides legal advice to H&R Block, Inc. and its subsidiaries on a variety of complex legal issues, primarily in the area of litigation.

  • Achieve legal objectives by gathering pertinent information, identifying and evaluating options, and choosing a course of action
  • Prepare legal positions by researching issues and reviewing documents
  • Effectively manage outside counsel to achieve timely and desired results within budget
  • Contribute to team effort by timely meeting commitments and working collaboratively with minimal supervision
  • Coordinate efforts with internal clients as well as other internal and external attorneys to provide legal advice regarding complex issues and risk mitigation strategies
  • Periodically assist with diverse high demand legal projects outside normal area of focus; including business operations, e-commerce, and contracts in support of strategic imperatives.
  • Other duties as assigned
  • Maintain professional and technical knowledge by attending educational workshops, reviewing professional publications, establishing personal networks, benchmarking state-of-the-art practices, and/or participating in professional societies
  • Some travel is required, including to attend significant hearings, trials, depositions, mediations, or meetings
What you'll bring to the team.:
  • Juris Doctorate degree plus license to practice law in one or more states. A current member of the Missouri Bar or an ability to become a member of the Missouri Bar within six months
  • At least five years of experience in the practice of law, with an emphasis on litigation
  • Detail-oriented focus, with demonstrated analytical, problem-solving, and negotiation skills
  • Effective oral, written, and interpersonal communication skills, with an ability to communicate and persuade a wide range of audiences
  • Ability to plan and coordinate multiple projects and work initiatives at the same time
  • A positive attitude, a collegial approach, and an instinct to go “above and beyond” in order to achieve the optimal outcome for the Company

Corporate Counsel will be responsible for providing legal counsel and guidance in support of the operations of Walsh and its affiliates. + Provide counsel to operations teams on contract administration including dispute resolution and mitigation, claim preparation, and subcontractor and supplier management.
+ Provide counsel to operational staff regarding legal project performance issues, including but not limited to subcontractor default, bond and mechanic lien claims, project claims, and contract compliance.
+ Provide advice and counsel to operational staff regarding project performance issues, including but not limited to subcontractor default, bond and mechanic lien claims, owner claims, contract compliance and development of claims as needed.
+ Review and advise on proposed lease agreements, vendor agreements, and non-disclosure agreements, and other third-party agreements as necessary.
+ Monitor and manage pending litigation including but not limited to commercial litigation with third parties.
+ Monitor and oversee all pending litigation including but not limited to subcontractor litigation, wrongful termination, and contract litigation.
+ Provide timely legal advice, counsel and support as needed for operations.
+ Perform other job functions as are necessary and may be assigned to support the legal needs of the company.
**QUALIFICATIONS**
+ Juris Doctorate from an accredited law school
+ 4-7 years of practical relevant experience
+ Admission to a state bar
+ Construction and transactional experience preferred
+ Highly developed written and oral communication skills
+ Ability to assess potential risks, benefits and consequences of decisions, balancing legal and practical business considerations

+ A minimum of three years of experience involving construction litigation, construction transactions, or legal experience with legal matters in the construction industry is required and five or more years of such experience is preferred.
+ Experience preparing and litigating government (federal, state and local) construction claims is also preferred.

**Essential Duties:**
+ Provide general legal advice and representation to the Company on a wide variety of complex legal issues and disputes.
+ In conjunction with Legal and Senior Operations management, manage and direct all aspects claims, disputes, and litigation involving the Company, including general litigation and strategy advice, contract interpretation, risk and litigation cost assessments, settlement activities, and management of outside counsel.
+ Manage discovery process for litigation matters, including distribution of document holds, document production, e-discovery, etc.
+ Develop and deliver appropriate training and materials to employees. Requires in-depth knowledge of relevant business processes and operations to ensure that the Company's interests are adequately protected in commercial transactions.
+ In conjunction with regional and project management, identify and resolve unique and complex issues that arise during the commercial contracting process, project execution, and the day-to-day operation of the Company that require innovative thinking and creative solutions.
+ Support and assist with all areas of the Company's compliance programs. This includes leading investigations, fact-finding, and other investigatory needs in connection with situations that arise under the Company's compliance programs. Also, responsible for ensuring all documents, policies, templates, and processes related to compliance are current and accurately maintained.
+ Provide legal advice and support related to labor and employment matters through collaboration with executive management, human resources, regional managers, frontline managers, and employees.

Salary is one part of Autodesk's competitive compensation package. For U.S.-based roles, we expect a starting base salary between $147,500 and $238,590. Offers are based on the candidate's experience and geographic location, and may exceed this range. The Corporate Counsel provides professional legal services, guidance and support in the areas of general organizational legal issues and transportation law, including, but not limited to, reviewing, negotiating, memorializing and advising on customer, vendor and other business contracts. This position also requires specialty legal work and various other projects as assigned. Corporate Counsel must demonstrate the appropriate level of proficiency for the required competencies.
Responsibilities
* Preparing, reviewing and negotiating transportation agreements.
* Interpreting laws and regulations and supporting legal and regulatory compliance.
* Conducting legal research and drafting legal memorandums.
* Providing accurate, relevant and timely legal advice on a variety of legal matters affecting the Company.
* Collaborating with other employees both within and outside the Legal Department.
* Preparing, reviewing and negotiating vendor and other miscellaneous agreements.
* Liaising with senior members of the Legal Department and outside counsel.
* Staying up to date with changes in laws and regulations affecting the Company's business.
* Representing the Company in dealings with third parties, including governments, customers, service providers and suppliers.
Requirements
Education:
* JD Law degree from an ABA accredited law school, required
Experience:
* A minimum of 2 years of continuous experience in the practice of law, preferred.
* Experience at a recognized law firm or in-house legal department, preferred.
* Experience preparing, reviewing and negotiating commercial contracts and agreements, preferred.
Computer Skills:
* Proficient in Microsoft Office Suite, required
Certifications:
* Licensed to practice law in at least one state, required.
