**Position Specific Description**
We are seeking a Principal Tax Attorney to work on NextEra's Federal Tax Planning & Policy team. NextEra has the largest team of tax attorneys in Florida and one of the largest teams of tax attorneys of any public company. This role will focus on the negotiation and structuring of NextEra's financing structures, including tax equity partnerships and other joint ventures, tax credit transfer deals, and securities offerings. This role will also involve reviewing and commenting on tax aspects of financial models for various transactions NextEra participates in.
**Professional Experience**
+ Strong transactional tax background with experience working on mergers and acquisitions, joint ventures, financings, and reorganizations.
+ Significant experience working with the rules in Subchapter K and Subchapter C and structuring complex transactions, including preparing steps plans laying out economic and tax aspects of transactions.
+ Reviewing and revising transaction documentation, including drafting of economic and tax provisions of purchase and sale agreements and LLC/partnership agreements.

  • Provide tax counsel and support for products and services offered by our Corporate and Investment Bank, including: Prime Brokerage, Equity and debt derivatives, structured products, and other financial products and services within Markets, Investment Banking and Capital Markets, Bank Lending and Syndicated Loans, Treasury Services Payments and Corporate Banking, Securities Services (including Custody), Commercial Banking, Digital Asset Initiatives and Retail financial services, including retail banking and consumer lending
  • Support JPMorgan Chase's Treasury and Chief Investment Office in its activities.
  • Serve as a general resource to the Corporate Tax Department, providing support in overseeing general and transactional tax planning.

Required qualifications, capabilities and skills:
  • Juris Doctorate or non-US equivalent.
  • At least 4+ years of relevant tax experience at a top-tier law firm with a strong tax practice, followed by experience at a major financial institution supporting businesses described above.
  • Significant experience with financial products, trading, and derivative documentation required.
  • Experience with drafting and negotiating tax provisions.
  • Experience with advising on or implementing US tax information reporting and withholding obligations
  • Strong written and verbal communication skills.
  • Ability to be self-directed and work effectively in a fast-paced, dynamic environment.

We are looking for a skilled Tax Controversy Attorney to join a boutique law firm in Baltimore County. The ideal candidate will excel in representing clients in disputes involving federal, state, and local tax authorities. This position offers an opportunity to handle audits, appeals, litigation, and advisory work, contributing to the resolution of complex tax matters efficiently and effectively.
Responsibilities:
- Represent clients in disputes with federal, state, and local tax authorities, including audits, appeals, and litigation.
- Develop and implement effective strategies to resolve tax controversies at administrative and court levels.
- Prepare compelling written submissions such as protests, appeals, briefs, and settlement proposals.
- Provide clients with guidance on compliance, risk management, and potential tax exposure.
- Negotiate with taxing authorities to secure favorable settlements and resolutions.
- Conduct detailed legal research and stay informed about changes in tax law and enforcement initiatives.
- Collaborate with accountants, expert witnesses, and other professionals to address complex tax matters.
Requirements
- J.D. from an accredited law school with admission to the bar; LL.M. in Taxation is preferred.
- Minimum of 2 years of experience practicing law in tax, business, or finance-related areas.
- Strong understanding of federal, state, and local tax laws and procedures.
- Exceptional analytical, negotiation, and advocacy skills.
- Proven ability to manage multiple cases and meet deadlines effectively.
- Excellent written and verbal communication skills.
- Experience working with accounting professionals and expert witnesses is advantageous.
