Direct Counsel is seeking a Mid-Level Associate Attorney to join a leading national law firm in its Financial Services Practice Group. This position offers the opportunity to work with top-tier clients in the payment systems and technology industries, including money center banks, credit and debit card issuers, FinTechs, and major retailers, on complex and innovative transactions.
Key Responsibilities:
Draft, review, and negotiate lengthy, complex, and technical commercial agreements, including co-branded and private-label credit card programs, payment processing agreements, technology and licensing agreements, and mobile wallet initiatives.
Support partners in advising clients on competitive RFPs and transaction structuring.
Provide strategic legal counsel aligned with client business objectives.
Conduct legal research to ensure compliance with applicable laws and regulations.
Participate in payments-related M&A transactions, including joint venture formation, restructuring, secured credit facilities, and asset acquisitions/dispositions.
Maintain regular client communication, prioritizing objectives and delivering timely updates.
Respond to unexpected developments with innovative legal solutions.
Qualifications:
Juris Doctor (JD) from an accredited law school.
Admission to at least one state bar and in good standing.
3–6 years of experience in financial transactions, preferably within the payment systems or technology industries.
Strong drafting, negotiation, and communication skills.
Experience in complex M&A or credit transactions preferred.
Interest in financial technology and emerging payment systems.
