· Once contracts come back executed, add to the database, and include required meta data from the agreements such as entities, contract length terms, multi-year commitments.

· Clean up Signed Contracts Database- rename agreements, update terms, add team permissions as necessary.

· Assist in additional gathering and uploading of identified agreements from other teams.

· Assist in contract search and collection as requested by Business Partners

· Assist in basic system user management as needed.

· Additional administrative needs such as mailing and tracking termination letters and scheduling training.

· Reading and understanding contract date terms

· Document entry in cloud-based system

· Highly detail oriented

The County of Riverside's Office of County Counsel has an opportunity for a Legal Support Assistant I/II -CN to support attorneys in the Child Welfare division in Indio, CA. The successful candidate will be responsible for performing a diverse range of specialized clerical tasks using legal terminology and procedures. This role involves supporting the legal staff within the Office of County Counsel.

The ideal candidate will have experience in a litigation office and familiarity with court services related to Child Protective Services (CPS) and Department of Public Social Services (DPSS). Additionally, candidates with major coursework in criminal justice or paralegal studies will be considered highly competitive for this role.

Schedule: 9/80 with a hybrid schedule (3 work from home days per pay period) after the training period which is typically 6 months. Telecommuting is at the discretion of the department and can change at any time.

Legal Support Assistant I - CN

Under general supervision, performs a wide variety of specialized and responsible clerical work involving the continual use of legal terminology and procedures; assists in processing and tracking a variety of legal documents, records and correspondence; performs the required specialized legal clerical work in support of legal staff within the Office of County Counsel; and performs other related duties as required.

The Legal Support Assistant I - CN (Confidential Non-Exempt) is the entry level class in the Legal Support Assistant series and provides clerical support to attorneys and/or other County staff within the Office of County Counsel. Incumbents are assigned to either perform a moderate range of specialized legal clerical work or, in a training capacity, learn to perform a wide variety of specialized legal clerical work characteristic of the Legal Support Assistant II - CN class. The Legal Support Assistant I - CN is distinguished from the Legal Support Assistant II - CN by the latter's ability to understand and apply a more extensive range of legal procedures related to the processing of legal documents. Incumbents may be expected to promote to the journey level class of Legal Support Assistant II - CN after acquiring the necessary experience and training and demonstrating satisfactory job performance.

Under general supervision, the Legal Support Assistant II performs a wide variety of specialized and responsible clerical work involving the continual use of legal terminology and procedures; assists in processing and tracking a wide variety of legal documents, records and correspondence; performs responsible and difficult specialized legal clerical work in support of two to three attorneys within the Office of County Counsel; and performs other related duties as required.

The Legal Support Assistant II - CN (Confidential Non-Exempt) is the journey level class in the Legal Support Assistant series and provides clerical support to attorneys and other County staff within the Office of County Counsel. The Legal Support Assistant II is distinguished from the Legal Support Assistant I by the former's ability to understand and apply a more extensive and complex range of legal procedures, including the preparation, completion and tracking of legal documents required by the attorneys' case building process.

The Office of County Counsel is a full-service law office that provides advisory and litigation support on issues of vital concern to the County and its residents such as health care, public safety, child welfare, land development, environmental protection, public finance, taxation and elections.• Serve as secretarial and clerical support to attorneys and other County staff within the Office of County Counsel; schedule appointments, screen callers, and initiate reply to routine correspondence.

The Deputy Corporate Secretary and Corporate Governance Legal team provide legal support and guidance to the Boards of Directors and Board Committees of Citigroup Inc. and Citibank, N.A. as well as
certain other subsidiaries, are responsible for Citi's Proxy Statement and Annual Shareholders' Meeting, operate Citi's Shareholder Relations function, and shape and guide governance practices and policies for
the Company, among other responsibilities. The Legal Support Lead Officer role requires a pragmatic, proactive legal professional to provide support to Citi's Deputy Corporate Secretary and the Corporate
Governance Legal team.
**Responsibilities:**
1) Manages the execution, review, processing and tracking of legal documentation and records, assists with corporate reorganization transactions and completes varied work requests from multiple sources that may be complex in character and have tight deadlines.
+ Drafts and prepares materials for the annual shareholder and subsidiary board meetings
+ Drafts subsidiary board meeting minutes, and mergers/transactional agreements
+ Assists with the preparation for meetings of the Nomination, Governance and Public Affairs Committee, a committee of the Board of Directors of Citigroup Inc.
+ Interacts with senior leaders, internal and external peers to gather information and works closely with the team's management to determine legal solutions.
2) Responsible for legal support activities related to:
+ Providing evidence of the oversight and closure of Board-owned milestones under regulation
+ Providing evidence to the second (Independent Compliance Risk Management) and third (Internal Audit) lines of defense in response to audit requests and review.
+ This includes thoughtfully approaching these requests and searches across multiple years and fora, identifying responsive materials for review by counsel, and properly redacting, organizing, and providing documents directly to regulators.
3) Under the supervision of the Corporate Governance Legal team, conducts research, applies institutional knowledge and knowledge of laws, rules and regulations to identify solutions or to formulate an approach or strategy. Responds with urgency to various time sensitive requests
+ Participates in legal programs and projects to achieve coordinated and efficient process improvements and legal support solutions; liaises with other control/functional businesses in support of initiatives.
+ Acts as a quality review checker for several MCAs (Managers Control Assessment) requirements relating to the Corporate Governance Legal team's obligations for Board / Board Committee materials / meetings and Director educational training
+ Oversees regular governance duties required to ensure that Citi's subsidiaries remain in compliance with relevant laws and regulations.
+ Supports the Corporate Governance Legal team and others with their obligations.
+ Makes updates to the Citi Legal Entity Management System (CLEMS) database of Citi legal entities.
+ Appropriately assesses risk when business decisions are made, demonstrating particular consideration for the firm's reputation and safeguarding Citigroup, its clients and assets, by driving compliance with applicable laws, rules and regulations, adhering to policies, applying sound ethical judgment regarding personal behavior, conduct and business practices, and escalating, managing and reporting control issues with transparency.
4) Provide support for Board and Committee meetings, briefings, and tutorials, including loading materials to Board Vantage portal; providing sections of Board materials to presenters with Board Vantage page numbers; and ensuring proper permissioning of management on materials.
+ Preparing and distributing to Board members and senior management personalized scheduled meeting attendance.
+ Maintain database of certain reports presented to the Board and Committees, including requesting and tracking responses from internal Board and Committee contacts, and respond to requests regarding the database.
+ Maintain corporate records, including minute books and Board materials distributions. In response to regulatory examination requests, and internal audit examinations, identify responsive Board and Committee materials, redact materials, and upload materials to SharePoint sites.
+ Prepare Secretary and Incumbency certificates under the direction of department attorneys.
+ Assist in responding to corporate governance surveys. Maintain database of information pertaining to biographical information of Board members, committee history and Board attendance etc.
+ Coordinate completion of questionnaires, filings etc, requesting information about directors and officers of company.
+ Proficiency in Board Vantage or similar (or the ability to quickly learn).
+ Assist senior attorney in managing several legal vehicles, including preparing board materials, annual meetings, and necessary annual and quarterly filings.
**Qualifications:**
+ 6-10 years of relevant industry experience, preferably with some experience as an in-house legal professional supporting corporate secretarial work within financial services
+ Excellent written and verbal communication and presentation skills with the ability to articulate complex problems and solutions through concise and clear messaging to internal stakeholders and senior leaders.
+ Must possess excellent interpersonal and project management skills, as well as the ability to interact and communicate effectively with senior management

The Director, Contract Management and Legal Support, is a key member of the legal department, responsible for the contract management process for the Legal Department and providing legal support to ensure compliance with company policies and legal requirements. **Essential Functions**
+ Review and negotiate various contract types to ensure they comply with legal requirements and company policies/practices, identifying potential risks within the contract terms, and recommend necessary revisions or negotiations to mitigate those risks. Contract types include, without limitation:
+ Master Services Agreements
+ Software as a Service Agreements
+ Supply Agreements
+ Research Agreements
+ Quality Agreements
+ Confidentiality Agreements
+ HCP Consulting Agreements
+ Amendments
+ Other agreements as needed
+ Manage and mentor non-attorney legal support staff. Provide guidance and support to ensure that the team meets its objectives, maintains high standards of performance, and continues to develop.
+ Meet with Procurement and other internal stakeholders for contracting strategy; facilitate communication and collaboration between departments to resolve any contract-related issues.
+ Assist with developing and implementing process improvements, including integration of technological enhancements.
+ Other projects as may be requested from time to time.
**Minimum Requirements**
**Education / Experience / Skills:**
+ A bachelor's degree in relevant field; JD preferred
+ At least 10 years' experience reviewing commercial contracts, with at least 3 years in a leadership role.
+ Pharmaceutical experience required
+ Strong understanding of contract law and legal principles
+ Excellent analytical and problem-solving skills
+ Detail-oriented with strong attention to accuracy
+ Excellent written and verbal communication skills
+ Ability to work independently and as part of a team
