Position Overview
We are seeking a Compliance Officer to support our Research, Investment Banking Compliance team. This role ensures compliance with applicable regulations, internal policies, and ethical standards governing Research, and Investment Banking activities.

Key Responsibilities
+ Regulatory Oversight: Monitor compliance with SEC, FINRA, and global regulations related to Research, and Investment Banking activities.
+ Conflict Management: Oversee processes to identify and manage conflicts of interest between Research, and Investment Banking activities, ensuring compliance with the Global Research Settlement and firm policies.
+ Advisory: Provide real-time guidance to Research Analysts, Investment Bankers, and front-office teams on compliance matters, including deal-related restrictions, research disclosures, and analyst independence.
+ Policy Development: Draft, update, and implement compliance policies and procedures for Research, and Investment Banking functions.
+ Surveillance & Monitoring: Conduct reviews of research reports, deal announcements, and trading activities for compliance with regulatory and internal standards.
+ Collaboration:
+ Partner with Equity Capital Markets (ECM), Debt Capital Markets (DCM), and Corporate Banking to provide compliance guidance on transactions and related activities.
+ Coordinate with Trading and BD Control Room, and the Centralized Control Room on the management and accuracy of the firm's Restricted List and Watch List.
+ Committee Participation: Serve as a Compliance representative on key Investment Banking committees, including the Equity Commitments Committee (ECC), Fixed Income Commitments Committee (FICC), Investment Banking Committee (IBC), and Fairness Opinion Committee (FOC).
+ Specialized Knowledge:
+ Maintain a thorough understanding of requirements related to "At the Market" (ATM) offerings, including obligations for trade reporting block trades.
+ Must have a solid understanding of the requirements of Regulation M, particularly Rule 101, which restricts distribution participants and affiliated purchasers from bidding for, purchasing, or inducing others to purchase covered securities during the restricted period to prevent market manipulation.
+ Information Barriers: Assist with both physical and electronic barriers to maintain separation between private-side and public-side information, ensuring compliance with regulatory and firm requirements.
+ Training: Deliver targeted compliance training to banking, research, and trading teams on regulatory requirements and firm policies.
+ Regulatory Interaction: Assist with regulatory inquiries, audits, and examinations related to investment banking and research activities.
+ Incident Management: Investigate and resolve compliance breaches, documenting findings and implementing remediation plans.
Qualifications
+ Education: Bachelor's degree in finance, Law, Business, or related field; advanced degree or certifications preferred.
+ Licenses: FINRA Series SIE, 79, 24, 63 or the ability to obtain these licenses in a timely manner upon joining is required.
+ Experience: 2-5+ years in compliance within investment banking, research, or broker-dealer environment, with strong knowledge of equity and fixed income markets.
+ Skills:
+ Strong understanding of U.S. securities regulations (SEC, FINRA) and research-related rules.
+ Familiarity with the Global Research Settlement and conflicts management frameworks.
+ Excellent analytical, communication, and interpersonal skills.
+ Ability to work in a fast-paced, high-pressure environment.

Pay Transparency
The salary range for this position is $84,000-$126,000 per year, plus an opportunity to earn an annual discretionary bonus. Actual pay is based on various factors including but not limited to the work location, and relevant skills and experience.

It represents the Executive Director’s role on assigned committees and acts on behalf of the Executive Director as needed. The position serves as a direct resource to the Senior Vice Chancellor in the absence of the Executive Director as needed.
The final salary and offer components are subject to additional approvals based on UC policy.
Your placement within the salary range is dependent on a number of factors including your work experience and internal equity within this position classification at UCSF. For positions that are represented by a labor union, placement within the salary range will be guided by the rules in the collective bargaining agreement.
The salary range for this position is $118,300 - $268,900 (Annual Rate).

Department Name :FIN Risk Mgmt and Insurance
Department Description : The Risk Advisory & Insurance Services (RAIS) department is responsible for strategies, systems, programs, and policies to identify and mitigate risk in order to protect UCSF’s human, financial and physical assets. The department educates and advises UCSF decision-makers on potential risks and mitigation strategies relating to general liability, employment practices liability, construction, property non-construction, auto liability, cyber and privacy, travel, foreign liability, clinical trials, clinical research subject injury liability. The department also procures construction and clinical trials insurance services for UCSF Campus and UCSF Health to protect organizational assets. RAIS is part of the UCSF Finance organization.
Required Qualifications :
- Bachelors degree, preferably with a specialization in business and/or contract law and/or equivalent education/experience.
- 10-15 years progressive relevant experience
- Enterprise Risk Management professional certification (ERMP)
- Expert and specialized knowledge in the following areas: risk management; insurance; forecasting and analysis; accounting; risk modeling process; knowledge of common organization-specific computer application programs; knowledge of organizational processes and procedures; understanding of organizational rules and regulations.
- Expert interpersonal skills, customer service orientation, active listening skills and highly effective team leadership skills.
- Highly developed ability to concisely present complex risk findings and make recommendations verbally and in writing.
