Title: **VP, Legal, Ethics & Compliance**
Your New Role
You will contribute to Warner Bros. Discovery's mission by ensuring that WBD's CNN, DTC/Streaming, Content Distribution, Technology, & Ad Sales businesses maintain full compliance with applicable laws, regulations, and WBD policies. Using strong analytical skills, transactional acumen and keen judgement, you will help adapt these businesses and their operations and personnel to new revenue opportunities and changing regulatory requirements. You will ensure WBD manages the complex ethics and compliance risks these businesses face. You will also be a valued leader responsible for partnering with these businesses' executives, their legal partners and other stakeholders to ensure that their business activities are carried out in ways that effectively mitigate ethics and compliance risks.
Your Role Accountabilities
This role has a broad remit, and responsibilities and skills include:
- Understanding and maintaining a deep knowledge of ethics and compliance requirements specific to WBD's CNN, DTC/Streaming, Content Distribution, Technology, & Ad Sales businesses, working collaboratively to set the strategic direction for the Ethics & Compliance function in these businesses.
- Having deep substantive knowledge and experience in regulatory compliance areas relevant to US multinational media companies with global newsgathering operations, including, but not limited to, FCPA, UKBA and other anti-bribery/anti-corruption laws; OFAC and other sanctions laws; export control regulations, including ITAR; modern slavery and other ESG-related regulations; and whistleblowing laws.
- Developing, implementing, and providing training on laws, regulations and policies relating to ethics and compliance obligations.
- Partnering with colleagues within WBD's CNN, DTC/Streaming, Content Distribution, Technology, & Ad Sales businesses, as well as with external stakeholders, to identify and address business needs, using influence to build relationships by earning trust and confidence.
- Working efficiently and independently, prioritizing workflow, meeting demanding deadlines, conducting/managing internal investigations, and managing multi-faceted projects in a fast-moving environment, particularly in the case of CNN.
- Possessing strong change management skills, including advocating, anticipating, and orchestrating change to enable business clients and legal partners to achieve results in a changing environment.
- Ensuring consistent application and implementation of company standards, policies and procedures across WBD's CNN, DTC/Streaming, Content Distribution, Technology, & Ad Sales businesses.
- Providing excellent strategic direction and guidance for ethics and compliance-related issues to business clients in WBD's CNN, DTC/Streaming, Content Distribution, Technology, & Ad Sales businesses, legal partners and other stakeholders.
- Providing clear and decisive counsel to senior executives in WBD's CNN, DTC/Streaming, Content Distribution, Technology, & Ad Sales businesses to ensure a clear understanding of risk exposure for global newsgathering, financial transactions, productions, distribution, licensing, streaming, advertising, technology transactions and other business activities.
Qualifications & Experience
- 10+ years of experience in a compliance and regulatory-focused role, preferably with media company, and specifically global news organization, experience; JD or equivalent degree in law required.
- Proven record of operational leadership, delivering desired results at a consistently high standard of resiliency, performance, and engagement. Must be capable of supporting and contributing to a team that is agile and responsive to change.
- Strong ability to act Independently, and a high comfort level managing numerous aspects of a sophisticated global compliance program.
- Clear communicator with key stakeholders in meetings, policy documents, process designs, and risk assessments.
- A willingness to travel, as needed.

Overview: Compliance Coordinator
This position is responsible for reviewing processes as part of Heritage’s compliance and continuous improvement process. The compliance coordinator’s role is ensuring staff comply with compliance and quality standards.
Core Responsibilities Include:
- Prepare written reports/procedures and assemble data
- Obtain OIG Investigator credential and assist in conducting investigations
- Assist in staff education related to compliance
- Assist in coordination of agency accreditation efforts (CARF)
- Assist with activities related to agency contracts/grants with local, state, and federal funders
- Work with staff to develop, maintain, and implement plans to achieve quality improvement goals
- Ensure staff members conform to industry regulations an agency policy through utilization review
- Monitor performance improvement projects across the organization

The Compliance Analyst will be responsible for the review of electronic communications to ensure compliance with regulations from multiple regulators. In addition, the Compliance Analyst will be responsible for various compliance functions related to reporting, onboarding and registration for certain regulated entities.
