**Job Description:**
The Global Markets Documentation Team is an integral part of TD Securities. GMD is a client facing team responsible for advisory services across trading desks and clients through capital markets deal origination including execution of regulatory and legal trading agreement requirements globally. This team maximizes revenue generation, ensures alignment with TD's risk appetite, and delivers a client-centric experience. The VP, Global Markets Documentation is responsible for providing best-of-class service to clients of TD Securities and internal business partners by preparing and negotiating legal documentation with global counterparties for trading products such as cash prime brokerage and equity derivatives, (i.e. Prime Brokerage Agreements, Term Commitment Agreements, ISDA Master Agreements, Credit Support Annexes, Master Confirmation Agreements, Regulatory IM Documents, Account Control Agreements, Custody Agreements). The VP, Global Markets Documentation independently manages a portfolio of clients and related capital markets legal agreements through the origination process for specific trading products across global markets. The position offers an opportunity to expand existing transactional and legal experience across multiple products, with a high level of responsibility in a fast-paced and dynamic global markets environment.
**Key Responsibilities:**
+ Lead negotiation of a robust portfolio of capital markets agreements globally across specific trading products, while aligning with internal risk, legal, regulatory and governance frameworks ensuring accelerated time to market.
+ Help advise the firm's clients globally through deal origination, with a focus on the firm's corporate, commercial and commodities portfolios, structuring and capital markets agreements requirements.
+ Participate in client meetings and calls to provide capital markets legal agreement advisory and guidance.
+ Assist with advisory services to the trading floor on trading agreements requirements and implications for new and existing transactions.
+ Lead internal calls with internal stakeholders, as well as calls with external legal counsel, to discuss issues that arise during negotiations of capital markets agreements.
+ Ensure that the firm is adequately protected in all dealings by preparing and negotiating capital markets agreements, including ISDA Master Agreements and corporate and commodities hedging documentation for loan-linked transactions, related credit support documentation, prime brokerage agreements, master confirmation agreements, energy and metals agreements, repo and securities lending agreements, and other bespoke capital markets agreements with clients.
+ Liaise and coordinate with internal stakeholders, such as Business, Credit, Tax, Legal, Operations, Funding and Valuations, and Collateral Management, during the origination and negotiation process.
+ Help manage escalations related to capital markets agreements, ensuring timely resolution and stakeholder alignment.
+ Participate in onsite meetings with clients and internal and external stakeholders, to support origination efforts.
+ Help lead weekly meetings with the desk heads on client updates.
+ Contribute to automation and process improvement initiatives to enhance documentation workflows and regulatory compliance.
+ Prepare and deliver reporting on documentation metrics, project status, and issue tracking.
+ Act as a trusted point of contact and advisor for internal stakeholders on all matters related to trading documentation.
**Depth & Scope:**
+ Ensures that the Bank is sufficiently protected from legal, risk, and operational perspectives in all such trading documents and other legal documentation between the Bank and its counterparties
+ Required to build and maintain strong relationships with all stakeholders across the Bank and be available to service the deal flow with tight deadlines from global desks
+ Leads negotiations of Prime Brokerage Agreements, Term Commitment Agreements, ISDA Master Agreements, CSAs, Master Confirmation Agreements, Regulatory IM Documents, Account Control Agreements and Custody Agreements with a variety of counterparties, including hedge funds and registered funds
+ Leads or participates in internal calls with senior credit officers and front office contacts, as well as calls with clients and external legal counsel, to discuss issues that arise during negotiations of trading agreements and/or prime brokerage related documents
+ Liaises and coordinates with internal stakeholders, such as Credit, Business, Tax, Legal, Operations and Collateral Management, during the documentation process
+ Provides timely updates to the Business on the status of negotiations, whether via weekly calls or through the team's internal document tracking system
+ Supports internal initiatives related to documentation, process automation, and regulatory compliance
**Education & Experience:**
+ Law degree is required
+ 5+ years of solid legal, trading documentation, capital markets, origination or related experience
**Preferred Qualifications:**
+ 6-8 years of solid legal, trading documentation, capital markets or related experience.
+ Strong knowledge of derivatives product structuring across rates, FX and commodity asset classes.
+ 6 + years in a client facing role.
+ Enjoy working on all manner of capital markets agreements and deal origination while effectively applying sound legal and regulatory risk management principles.

Koch Specialty Plant Services is seeking a Business Development Manager - Power Markets (Construction Services) to join our team. This role will report to our Vice President, Commercial Strategy & Sales and will drive profitable growth in the U.S. power generation market by developing customer relationships, identifying and winning new and replacement construction opportunities (particularly HRSG and balance-of-plant projects), and partnering across our organization to deliver high-value solutions. This role will play a pivotal role in expanding our footprint in the power generation market - leading with discipline, integrity, and innovation to deliver construction excellence on some of the most technically demanding projects in North America.
This role may work remotely out of the Southeast (TX, LA, AL, GA, FL) and/or Midwest (KS, OH, KY, IN, MO) or work out of one of our KSPS offices in those regions (Wichita, Houston, Baton Rouge).
What You Will Do
Market & Customer Development
- Lead business development for construction services within the power and cogeneration market, with a focus on HRSGs, heat recovery, and balance-of-plant projects.
- Build and maintain deep relationships with OEMs (e.g., GE, Siemens, Mitsubishi, Nooter/Eriksen), EPCs, utilities, and industrial end users.
- Identify, qualify, and prioritize opportunities that align with strategic objectives and profitability targets.
- Maintain visibility of market intelligence - upcoming projects, turnarounds, outages, and key customer capital plans.
Commercial Execution
- Lead proposal strategy, customer interface, and commercial negotiations for assigned opportunities.
- Partner closely with estimating, project management, and field execution teams to ensure proposals are executable and margin aligned.
- Manage the pipeline and forecast for power-sector opportunities and communicate progress through the commercial execution framework.
- Support development of contracting strategies and risk assessments on major bids.
Strategic Growth & Positioning
- Develop and execute a go-to-market strategy for the U.S. power market that leverages our core capabilities in field construction, modular assembly, and turnaround excellence.
- Work cross-functionally with technology, engineering, and operations to shape value propositions and differentiators specific to power-market customers.
- Contribute to business reviews and strategy sessions by providing data-driven insights on market trends, competitors, and customer drivers.
- Represent the company at industry events, conferences, and trade associations to enhance brand recognition and relationships.
Internal Leadership
- Serve as the voice of the power market internally - translating customer needs into actionable strategies for delivery teams.
- Collaborate with marketing to develop case studies, photos, and materials that demonstrate our expertise in HRSG and power-related construction.
- Uphold a culture of disciplined craftsmanship, safety, and continuous improvement.
Who You Are (Basic Qualifications)
- Experience in industrial or power-market business development, project sales, or EPC contracting
- Experience evaluating project risk, margin, and contract structure
- Ability to travel 30-50% across the U.S.

- Established network across OEMs, EPCs, and power producers in the U.S.
- Demonstrated success in winning construction, erection, or mechanical projects (preferably in HRSG, power generation, or large process plants).
