**Job Description Summary:**
Responsible for reviewing, drafting and managing commercial contracts and other legal documents to ensure compliance with applicable laws, regulations, and company policies. The role supports legal department attorneys that provide legal guidance on contractual issues and mitigate legal risk.
**Job Description:**
**Job Responsibilities (listed in order of importance and/or time spent)**
+ Partner with Pharmacy Operations, Market Access, Business Development, Facilities/Real Estate, Finance, Information Technology, Compliance and other applicable business units as needed to lead and manage the administration of our contracting process, including drafting, participating in contract negotiations, revising, finalizing customer and procurement contracts, and analyzing potential risks involved with specific contract terms and to help ensure contracts are compliant with all applicable laws and regulatory requirements.
+ Tracks and monitors contracts throughout their lifecycle from inception to execution and post-implementation; utilize and manage electronic Contract Management System technology; maintains knowledge of status and information within contracts; facilitates the routing, approval, and execution of third-party contracts, and compiles all executive summary documents to present for review including contract and credentialing documents, financial models, legal and operational review comments, issue memos, etc.; communicates status of contracts to various business units and executives as appropriate.
+ Provides necessary support and communication to all internal Option Care Health personnel regarding day-to-day sales, service, operations, and contracting functions, as well as support ad-hoc projects, requests, and initiatives.
+ Draft and manage correspondence regarding contract terminations and disputes with minimal supervision.

**Basic Education and/or Experience Requirements**
Bachelor's degree and at least 1 year of related contract experience,

+ Solid knowledge and understanding of basic contracting principles and primary contract types.
+ Experience using time management skills such as prioritizing/organizing and tracking details and meeting deadlines of multiple projects with varying completion dates.

**How you'll make an impact:**
The Legal Analyst, Contracts will support enterprise-wide contracting, collaborating with many shared services and business units within Edwards, and implementing contract processes and related contracts management software applications (e.g., contract lifecycle management ("CLM") systems).
+ Support shared services and various business unit contracts requests, managing contract workflow from contract initiation through execution.
+ Support shared services and various business units with the initiation, review, redlining, and negotiation of a broad range of transactional contracts, as needed, including, but not limited to, confidentiality and non-disclosure agreements (NDAs), master service agreements (MSAs) and related statements of work (SOWs), agreements with Healthcare Professionals, various types of external funding agreements, and other agreement types as may arise from time to time, based upon contract playbooks and/or feedback from legal and business subject matter experts.
+ Coordinate legal review in conjunction with functional contract advisor leads (e.g., corporate counsel, procurement/sourcing, compliance, risk management, information security, etc.).
+ Develop strong business relationships with key stakeholders and implement creative solutions with the focus on simplifying existing processes.
+ Analyze contract terms and conditions, determine the need for contract amendments or renewals; evaluate prior terms and conditions and make recommendations and/or negotiate changes within guidelines.
+ Participate in key Legal and CoE meetings, as well as required workshops and trainings to drive overall compliance with Edwards policies and procedures as it relates to contracting.
+ Performs other duties and responsibilities as needed, requested, and/or assigned.

+ Bachelor's Degree and 3 years of experience in contracts management OR
+ American Bar Association (ABA) Paralegal certification and 5 years of experience in contracts management

Edwards Lifesciences ("Edwards") is seeking an experienced legal contracts professional who is looking to join a dynamic and fast-paced in-house legal department to support the future of growth of Edwards and one of its newest business units, Implantable Heart Failure Management ("IHFM"), formerly Endotronix, Inc.

The IHFM Senior Legal Analyst, Contracts will report into the Edwards Global Law Department and will collaborate closely with the Contracts Management Center of Excellence (CoE), but will be physically located in Naperville, IL, within the IHFM business unit.

This is an on-site position (on-site minimally 4 days per week).

How you'll make an impact:

  • Support the IHFM business unit, in coordination with other members the Contracts Management CoE, by managing contract workflow from contract initiation and negotiation through execution.

  • Support the IHFM business unit with the initiation, review, redlining, and negotiation of a broad range of transactional contracts, as needed, including, but not limited to, clinical trial agreements (CTAs) and related statements of work (SOWs), master service agreements (MSAs) and related SOWs, agreements with Healthcare Professionals, investigator-initiated study (IIS) agreements and other external funding agreements, and confidentiality or non-disclosure agreements (NDAs). Coordinate legal review in conjunction with functional contract advisor leads (e.g., corporate counsel, procurement/sourcing, compliance, risk management, information security, etc.) utilizing contract playbooks established by the Legal commercial contracting team and/or feedback from subject matter experts.

  • Work with the company's existing contract lifecycle management (CLM) system and contract processes and participate, as needed and requested, in the implementation of new CLM technology and related processes.

  • Collaborate closely with other members of Edwards's Contract Management CoE function and will work to improve enterprise contracting processes and support overall operational effectiveness.

  • Responsible for learning and understanding the IHFM business unit's (formerly Endotronix, Inc.'s) products, business model, strategy, etc. to develop a deep understanding of the IHFM business unit and its contracting needs.

  • Support the development of key contracts management metrics and perform analytics, as needed or requested.

  • Develop strong business relationships with key stakeholders and implement creative solutions with the focus on simplifying existing contracting processes.

  • Collaborate with key subject matter experts to receive and provide guidance on contract terms and conditions while also identifying risks and communicating with key stakeholders.

  • Analyze contract terms and conditions, determine the need for contract amendments or renewals; evaluate prior terms and conditions and make recommendations and/or negotiate changes within guidelines.

  • Understand the vendor on-boarding and due diligence processes for new counterparties (e.g., obtaining W-9 and required paperwork, opening and managing purchases orders, etc.) as these processes relate to the contracting process and guide key stakeholders as to the correct processes, as needed.

  • Participate in key IHFM, Legal and CoE meetings, as well as required workshops and training to drive overall compliance with Edwards policies and procedures as it relates to contracting.

  • Assist Legal and CoE with managing playbooks, templates, processes and clause libraries.

  • Perform other duties and responsibilities as needed, requested, and/or assigned.

What you'll need (required):

  • Bachelor's Degree with 5 years of experience in contracts management OR

  • American Bar Association (ABA) Paralegal certification with 7 years of experience in contracts management AND

  • Experience with systems and tools as it relates to legal.

  • Paralegal or Contracts management Certification or J.D. background or at least 2 years of working in an in-house legal department.
